格隆匯 3 月 19日丨*ST基礎(600515.SH)公佈，2021年3月19日，公司管理人發佈了《海航集團機場板塊戰略投資者招募公吿》，對戰略投資者招募條件、招募流程等進行了明確，意向戰略投資者原則上應於2021年4月12日前(含當日)前往管理人指定地點提交報名材料。鑑於該事項尚存在不確定性，提醒廣大投資者注意投資風險。
“為依法推進海航集團及相關企業重整工作，推動機場業務可持續健康發展，維護各方權益，服務海南自貿港建設，管理人依照《中華人民共和國企業破產法》及相關法律規定，現公開招募戰略投資者，並就招募事項公吿如下：
機場板塊是指由海航集團控股並經營管理的、從事客運、貨運為主的境內外機場，以及由機場業務延伸發展出的倉儲物流、商務貿易、旅客服務、酒店餐飲等臨空產業園區開發建設業務。除機場運營、臨空產業園區開發建設外，機場板塊企業的業務範圍還涉及基礎設施投資、少量地產投資開發業務、物業服務等空港相關業務。
截至2020年底，機場板塊從業人員1.6萬人。
戰略投資者資格條件按照法治化、市場化原則，公平、公正、公開對全體意向戰略投資者進行公開招募。戰略投資者須具備的主要條件如下：
1. 意向戰略投資者應當是依照中華人民共和國法律設立並有效存續的企業法人和合夥企業，具有良好的商業信譽和社會責任感。
2. 意向戰略投資者應為國有控股企業，並應取得其國資監管機構或所在地地方政府的授權。優先選擇總部註冊在海南自貿港的意向戰略投資者。
3. 意向戰略投資者應具備較好的財務實力、優秀的現代企業治理管理能力和安全生產理念。
4. 意向戰略投資者應具備清晰的內外部決策流程，能夠高效完成相應的談判和決策工作，能夠在合理的時間內完成本次交易，確定性高。
5. 意向戰略投資者可以是聯合體，聯合體可由兩個或兩個以上的意向戰略投資人組成，聯合體應明確牽頭人，牽頭人必須為實質性運營企業。聯合體中須有一個意向戰略投資人符合上述資格條件。
6. 管理人根據重整工作需要認為需要符合的其他條件。
