新金路(000510.SZ)與亨源實業於簽署債務抵償協議
格隆匯3月19日丨新金路(000510.SZ)公佈，公司、公司子公司四川金路倉儲有限公司(“倉儲公司”)、亨源實業集團有限公司(“亨源實業”)、四川中信達能源有限公司(“中信達”)於近日簽署了《債務重組協議》。根據協議約定，倉儲公司將對中信達所享有的債權2696.49萬元，全部轉讓給公司享有，中信達將上述應付的債務2696.49萬元，全部轉由亨源實業承擔，同時中信達就該債務向公司承擔連帶清償責任。
公司與倉儲公司、亨源實業、四川高越石化有限公司(“高越石化”)於近日簽署了《債務重組協議》。根據協議約定，倉儲公司將對高越石化所享有的債權526.96萬元，全部轉讓給公司享有，高越石化將上述應付的債務526.96萬元，全部轉由給亨源實業承擔，同時高越石化就該債務向公司承擔連帶清償責任。
公司與倉儲公司、亨源實業、四川亨源石化有限責任公司(“亨源石化”)於近日簽署了《債務重組協議》。根據協議約定，倉儲公司將對亨源石化所享有的債權54.45萬元，全部轉讓給公司享有，亨源石化將上述應付的債務54.45萬元，全部轉由亨源實業承擔。同時亨源石化就該債務向公司承擔連帶清償責任。
公司與倉儲公司、倉儲公司控股公司廣漢金路亨源石化有限公司(“金路亨源”)、亨源實業於近日簽署了《股權轉讓暨債務重組協議》。根據協議約定，倉儲公司將所持金路亨源51%股權及所有相關附屬權益全部轉讓給亨源實業(金路亨源註冊資本5000萬元，實繳註冊資本100萬元，其中倉儲公司實繳51萬元，佔51%股權)，轉讓定價以金路亨源2021年1月31日財務報吿中的淨資產為依據，確定股權轉讓價款為235.68萬元。倉儲公司將上述的股權轉讓價款235.68萬元及金路亨源應付倉儲公司的往來款273.86萬元全部轉讓給公司享有。
金路亨源將上述應付倉儲公司的往來款273.86萬元及尚應償還公司的借款本金及利息537.08萬元轉由亨源實業承擔，並對此承擔連帶清償責任。
根據上述“債務重組協議”，亨源實業應向公司支付債務款項合計4324.52萬元。公司與亨源實業於近日簽署了《債務抵償協議》，亨源實業以自有房地產抵償對公司所負上述債務。
