奧園美谷(000615.SZ)擬6.97億元收購連天美55%股權
格隆匯 3 月 18日丨奧園美谷(000615.SZ)公佈，2021年3月18日，公司與廣州盛粧醫療美容投資有限公司(“盛粧醫美”)於廣州共同簽署了《關於浙江連天美企業管理有限公司股權轉讓協議》，公司擬以現金方式收購盛粧醫美持有的浙江連天美企業管理有限公司(“連天美”“標的公司”“目標公司”或“標的資產”)的55%股權。此次交易評估機構出具的連天美100%股權評估值為13.51億元，經交易雙方協商確定的交易價格為6.97億元。此次股權轉讓完成後，公司將持有連天美55%的股權，連天美將成為公司的控股子公司。
連天美主要從事醫療美容機構運營及管理業務，目前下設兩家醫療美容醫院，即杭州連天美醫療美容醫院及杭州維多利亞醫療美容醫院，總營運面積約2萬平方米。下屬醫院設有整形美容科、微整形科、皮膚美容科、口腔美容科等主要業務科室，為消費者提供整形、微整形、皮膚美容等服務。
連天美旗下醫療美容醫院多年來始終專注於醫美行業。經過多年的經營發展，連天美已建立起一支由13名高級職稱專家領銜的專業醫師團隊。下屬醫院擁有主任醫師5名，副主任醫師8名，專業醫護人員173名，另有特聘外院專家16名。連天美擁有整形相關專利20餘項，旗下兩家醫院獲得中國整形美容協會授予的最高等級5A級評級，其中杭州連天美醫療美容醫院取得了浙江省衞生廳認證的四級(高難度)手術資質。
公司此次擬通過現金收購的方式實現對連天美55%股權的收購，從而實現對下屬杭州連天美醫療美容醫院及杭州維多利亞醫療美容醫院的控制，進一步落地和夯實醫美業務板塊。
連天美在醫美行業深耕多年，擁有強大的客户資源、技術積累和區域品牌優勢。在醫院資質和技術積累方面，連天美旗下兩家醫院均為中國整形美容協會認證的5A級醫療美容機構；同時，杭州連天美醫療美容醫院擁有四級手術資質。
此次交易的實施將有助於公司運用資本市場平台整合醫療美容資源，深化完善醫療美容板塊的戰略佈局，增強公司在醫美領域的影響力，快速佔據行業有利位置。公司將繼續聚焦醫療美容領域，加大醫療美容人才團隊的培養力度，深入挖掘並整合國內優質醫美資源，豐富完善醫美產業佈局。
