聯想控股(03396.HK)：累計收購富瀚微15.94%股份，與實控人已簽訂一致行動協議
格隆匯 3 月 17日丨聯想控股(03396.HK)公佈，公司全資附屬公司東方企慧於相關期間通過連串收購向傑智控股收購累計合共1275.01萬股富瀚微股份，佔富瀚微已發行股本比例15.94%，累計總現金代價約為人民幣15.42億元(未計相關交易費用)。連串收購事項中每股富瀚微股份的平均價格約為人民幣120.98元(未計相關交易費用)。
據悉，富瀚微(300613.SZ)是我國專注於以視頻為核心的專業安防、智能硬件、汽車電子領域芯片設計開發的領先企業。其通過多年自主研發創新，在芯片算法研究、IP核開發、SoC芯片實現、產品解決方案開發等積累了一系列自主核心技術，且始終保持高比例投入研發。富瀚微與業內標杆安防監控設備廠商保持着緊密戰略合作，其中ISP芯片產品(模擬攝像機圖像處理芯片)在全球安防市場處於絕對領先地位，同時，汽車電子領域也逐步成為新的業務增長點，其車規級產品已拓入品牌車企並有機會深入合作。於公吿日，其主要股東分別為陳春梅、雲南郎瀚企業管理有限公司、東方企慧、傑智控股以及楊小奇，分別持有13.47%、11.71%、10.71%、11.21%及7.65%已發行股本比例。
公吿稱，半導體、集成電路領域，是聯想控股作為財務投資項目長期關注的重要投資方向，聯想控股旗下的私募股權投資機構君聯資本就是富瀚微最早也是唯一的機構投資人，並一路支持富瀚微的發展。此次聯想控股入股富瀚微是看好半導體賽道和泛安防領域的長期發展潛力，有望提升公司財務投資板塊的投資收益回報，且符合財務投資的資產配置要求。公司自入股富瀚微後，與富瀚微管理團隊一起在半導體產業進行更深入的合作，推動富瀚微的長期發展。連串收購事項完成後，富瀚微的股份投資將持續以公允價值計量損益列入集團之綜合財務報表。富瀚微董事會其中一名董事現由東方企慧委任。東方企慧與楊小奇(富瀚微的實際控際人)已簽訂一致行動協議，據此雙方協訂在行使其所持股權對應的富瀚微任何重要事項的決策、經營等相關股東權利時保持一致，包括但不限於在富瀚微股東大會投票表決時一致行動。
