科順股份(300737.SZ)：擬以暫定價4.956億元購買豐澤股份100%股權 明起復牌
格隆匯 3 月 17日丨科順股份(300737.SZ)公佈，公司擬以發行股份及支付現金購買資產方式購買豐澤股份股東所持豐澤股份100%股權。
截至預案簽署日，公司與孫誠等豐澤股份89位股東簽署了《購買資產協議》，上述已簽署協議的豐澤股份股東合計持有豐澤股份99.90%股份，其中選擇股份支付比例為85.87%，選擇現金支付比例為14.13%；公司與孫誠等豐澤股份9位股東簽署了《業績承諾補償協議》。豐澤股份為全國中小企業股份轉讓系統掛牌公司，流通股東較多，截至預案簽署之日，科順股份、豐澤股份正積極與其餘持有豐澤股份0.10%股份的股東溝通其所持豐澤股份股權的轉讓及協議簽署工作。
截至預案簽署日，標的資產的審計、評估工作尚未完成。交易雙方經友好協商後初步確定標的公司100%股權的預估值為4.956億元，待標的資產評估報吿出具後，將以標的資產評估值為依據，經協商確定本次交易的標的資產作價，並在重組報吿書(草案)公吿前另行簽署收購協議之補充協議，再次提交董事會審議通過後提交股東大會審議。截至本預案簽署日，標的資產交易價格尚未最終確定。
由於與標的資產有關的審計和評估工作尚未完成，相關資產經審計的財務數據、評估或估值最終結果可能與預案披露情況存在差異。
此次交易中，科順股份擬以暫定交易作價4.956億元購買標的公司100%的股權。截至預案簽署日，根據已簽署協議情況，此次交易現金支付比例為14.13%，即預估為6994.45萬元。
此次收購的標的公司為鐵路、公路、建築、水利、電力、地鐵、軌道交通等重大工程提供減隔震、止排水技術方案，提供支座、止水帶和伸縮裝置等產品。此次交易完成後，上市公司將通過標的公司已有的業務渠道繼續開拓鐵路、公路等基礎設施市場，擴大市場份額；同時公司將藉助自身的渠道和客户優勢，協助標的公司進行建築領域客户深度開發，產生客户資源及銷售渠道協同效應。
此次交易完成後，豐澤股份將成為科順股份的子公司，除防水產品外將擁有支座、伸縮縫等功能性產品，有助於上市公司在防水材料領域進一步擴大市場份額，進一步改善公司的收入結構，加強市場競爭力，實現主營業務的協同效應和業績的快速增長，提高公司應對多變市場的抗風險能力。
公司股票將於2021年3月18日開市起復牌。
