信維通信(300136.SZ)以5000萬元全資收購聚永昶 加速推進高端被動元件領域戰略佈局
格隆匯3月17日丨信維通信(300136.SZ)公佈，公司2020年12月10日披露了《關於擬簽訂<合作框架協議>的公吿》，擬與李俊、李想、尹紅徽、李崗強、李影(合稱“乙方”)就現金形式收購蘇州聚永昶電子科技有限公司(簡稱“聚永昶”)全部或部分股權的事項，簽訂《合作框架協議》。
近日，雙方簽訂了《關於收購蘇州聚永昶電子科技有限公司100%股權之股權轉讓協議》，公司參考銀信資產評估有限公司對聚永昶評估並出具的“銀信評報字[2020]滬第1688號”資產評估報吿，以5000萬元的轉讓價格完成對聚永昶100%股權的收購。相關工商變更登記備案工作已完成，聚永昶為公司全資子公司。
被動元件是電子產品的基石，近幾年受消費類電子產品、5G通訊、新能源汽車、物聯網等應用領域快速增長的帶動，市場需求旺盛。現階段，高端被動元件主要被日本、韓國、中國台灣地區的廠商壟斷，存在較大的國產化需求和自主可控的緊迫性。高端被動元件是公司戰略規劃的重要方向之一，公司通過對聚永昶的收購，快速搭建電阻產品的研發與製造能力，未來將逐步佈局電容和電感等領域，全面進軍高端被動元件產業。
聚永昶在電阻領域擁有行業領先的研發與生產能力，其核心技術團隊成員擁有豐富和成熟的陶瓷電阻、合金電阻、薄膜電感、一體成型電感的研發技術與專利；聚永昶注重精益生產和成本管控，在品質與效率上達到行業一流水平，可實現較高的經營效益和產品毛利。
