英皇國際(00163.HK)擬20.83億港元向英皇娛樂酒店(00296.HK)出售酒店業務
格隆匯 3 月 16日丨英皇國際(00163.HK)及英皇娛樂酒店(00296.HK)宣佈，於2021年3月16日，英皇酒店集團(為英皇國際的直接全資附屬公司)擬向英皇酒店(為英皇娛樂酒店的間接非全資附屬公司)投資出售目標公司Poly Keen全部股權及相關貸款，代價為約20.83億港元。
據悉，目標公司為英皇國際的間接全資附屬公司。目標公司為一家投資控股公司，其附屬公司主要在香港從事物業投資及酒店業務。於訂立買賣協議前，英皇國際已重組物業持有公司及其運營公司之股權，從而使有關公司歸為一家公司，作為目標公司。該等物業包括：(i)英皇駿景酒店；(ii) The Unit Serviced Apartments；及(iii)MORI MORI Serviced Apartments。
英皇國際交易所得款項淨額約為20.82億港元，將用作：(i)如英皇國際董事會批准，約3,680萬港元用作支付英皇國際特別股息；及(ii)餘額約20.45億港元將用作英皇國際營運資金，包括物業投資及物業建設項目。
英皇國際的董事會就有關完成建議宣派特別股息每股英皇國際股份1.0港仙。為感謝英皇娛樂酒店股東的支持，英皇娛樂酒店的董事會建議宣派特別股息每股英皇娛樂酒店股份5.0港仙。
英皇娛樂酒店過去數十年一直於澳門從事提供附設娛樂設施的酒店服務。其一直在尋找合適機會以擴大其酒店業務。交易可讓英皇娛樂酒店將其業務範圍擴大到澳門以外並拓闊其收入來源。於完成後，英皇國際將專注於物業投資及物業發展，而英皇娛樂酒店將維持其核心專注點於博彩酒店，並於區域酒店行業擴展市場據點。交易可以更好地理順英皇國際與英皇娛樂酒店之間的資產、資源(有形及無形)以及業務活動，並精簡各自管理團隊的決策過程。通過清晰區分英皇國際與英皇娛樂酒店之間的業務重點，交易亦可讓潛在投資者、現有英皇國際股東及英皇娛樂酒店股東更好地評估投資價值。
