中兴通讯(000063.SZ)：拟向23家境内外金融机构申请合计1350亿元、44.8亿美元及1.8亿欧元综合授信额度
格隆汇 3 月 16日丨中兴通讯(000063.SZ)公布，公司第八届董事会第三十三次会议决议，逐项审议并通过《二○二一年度拟申请综合授信额度的议案》，决议内容如下：
同意公司向中国银行股份有限公司、中国工商银行股份有限公司深圳市分行、中国建设银行股份有限公司深圳市分行、中国农业银行股份有限公司深圳市分行、交通银行股份有限公司深圳分行、招商银行股份有限公司深圳分行、中国进出口银行深圳分行、中国民生银行股份有限公司深圳分行、光大银行股份有限公司深圳分行、广发银行股份有限公司深圳分行、平安银行股份有限公司深圳分行、兴业银行股份有限公司深圳分行、珠海华润银行股份有限公司深圳分行、中国邮政储蓄银行股份有限公司深圳分行、华夏银行股份有限公司深圳分行、广东华兴银行股份有限公司深圳分行、开泰银行(中国)有限公司深圳分行、中国出口信用保险公司、国家开发银行深圳市分行、法国兴业银行(中国)有限公司、东方汇理银行(中国)有限公司上海分行、星展银行(中国)有限公司深圳分行以及法国巴黎银行(中国)有限公司等二十三家境内外金融机构申请合计1350亿元人民币、44.80亿美元及1.80亿欧元的综合授信额度。该批综合授信额度尚须各授信金融机构的批准，公司在办理该批综合授信额度下的具体业务时需要根据公司现有内部规定及相关法律、法规和上市规则的要求履行必要的审批程序。
注：综合授信额度是授信金融机构根据对公司的评估情况而给予公司在其操作业务的最高限额。公司在综合授信额度项下根据生产经营的实际需求操作各项业务品种，应履行公司内部和授信金融机构要求的相应审批程序。同时综合授信额度为公司拟向授信金融机构申请的金额，最终确定的金额以授信金融机构批复金额为准。
前述除拟向国家开发银行深圳市分行申请综合授信额度以外的每项决议自2021年3月16日起至(1)公司与该授信金融机构的下一笔新的综合授信额度得到公司内部有权机构批复，或(2)2022年3月31日二者较早之日止有效。除非法律法规、公司章程另有要求或者有业务需求，董事会将不再出具针对该授信金融机构综合授信额度内不超过该额度金额的单笔业务申请的董事会决议。在该授信金融机构综合授信额度有效期内，且在法律法规和公司章程允许的范围内，董事会同时授权公司法定代表人或其授权的有权签字人签署与综合授信额度相关或与综合授信额度项下业务相关的法律合同及文件。
前述公司拟向国家开发银行深圳市分行申请的40亿美元的综合授信额度的交易尚需提交公司股东大会审议批准，董事会同意提请股东大会授权董事会可以在不超过前述综合授信额度以及股东大会审议通过的期限的范围内依据公司需要或与授信金融机构的协商结果调整授信额度的具体内容和具体授信期限，同时授权董事会以及公司法定代表人或其授权的有权签字人与授信金融机构协商并签署与前述综合授信额度相关或与综合授信额度项下业务相关的法律合同及文件。
公司此次拟向国家开发银行深圳市分行以外单个授信金融机构申请综合授信额度均未超过公司最近一期经审计净资产的50%，无需提交股东大会审议。
