炬華科技(300360.SZ)：嘉興炬華聯昕擬1000萬元受讓帷盛科技2%股權
格隆匯 3 月 16日丨炬華科技(300360.SZ)公佈，近日，嘉興炬華聯昕與上海競杭企業管理諮詢合夥企業(有限合夥)(“上海競杭”)簽署了《股權轉讓合同》，嘉興炬華聯昕擬以每一元註冊資本16.6667元的價格受讓上海競杭持有的杭州帷盛科技有限公司(“目標公司”或“帷盛科技”)60萬元註冊資本即佔目標公司2.00%的股權，合計受讓總金額1000萬元。此次投資資金來源為嘉興炬華聯昕自有資金。
目標公司帷盛科技專注於支架結構產品的研發、設計、生產、工程安裝服務以及系統解決方案的提供，是國際領先的光伏支架系統服務商，亞太地區最大的光伏支架專業生產廠家之一。主營業務包括各類光伏跟蹤支架、固定支架、分佈式電站開發、建築類支架等，致力於為全球客户提供專業、高效、可靠的光伏系統解決方案。公司光伏跟蹤支架產品廣泛應用於“國家光伏領跑者”項目、“一帶一路建設”項目等，並多次獲得行業協會的科技進步獎。
帷盛科技始終堅持技術創新的發展理念，整合國內外最優秀的技術資源，引領行業發展，現擁有專業的研發團隊50餘人，是國家高新技術企業、省級企業研究院。截止目前，已獲得授權專利200餘項，其中發明專利10餘項，是亞太地區率先全部通過北美跟蹤支架BV、UL、ETL、PE Stamp、CPP等評估與認證併成功進入美國、日本等國跟蹤支架市場的企業。
此次對外投資是基於帷盛科技是全球光伏系統行業的領軍企業，集研發設計、生產銷售、系統解決方案於一體，致力於為全球客户提供專業、高效、可靠的光伏系統解決方案，應用領域遍及光伏、建築和交通，是國內及亞太地區最大的光伏支架專業生產廠家之一併擬在資本市場上市為既設目標。根據公司戰略規劃，公司整合優質資源，加強能源互聯網和物聯網領域戰略佈局；同時積極尋求新興產業領域中的外延式併購和新領域合作機會，加強對市場前景廣闊、盈利能力強的戰略性新興產業的項目投資。
