上峯水泥(000672.SZ)：子公司擬與餘建平等簽訂合作框架協議
格隆匯3月15日丨上峯水泥(000672.SZ)公佈，為落實穩中求進發展戰略計劃，抓住機遇增強主業競爭力，公司全資子公司浙江上峯建材有限公司(“上峯建材”)擬與餘建平及其控制的朝陽蘭淩水泥有限公司(“蘭淩水泥”)、朝陽蘭澤新型建材有限公司(“蘭澤建材”)、遼寧亞鱷水泥股份有限公司(“亞鱷水泥”)簽訂《合作框架協議》，其中，蘭淩水泥、蘭澤建材及亞鱷水泥(“重組方”)將通過系列資產重組的方式將合作資產注入新設公司，未來，上峯建材擬通過收購或增資方式控制新設公司51%股權。
經各方協商，餘建平及重組方擬通過系列資產重組的方式將合作資產注入新設的持股公司，持股公司名稱暫定為“【遼寧上峯建材有限公司】”(具體以工商核定名稱為準，“持股公司”)，持股公司設立時的股東將為餘建平及其指定的其他合夥人(以下合稱“轉讓方”)。重組完成後，上峯建材或其指定的其他方(以下合稱“受讓方”)擬向轉讓方購買或以增資方式持有持股公司51%股權(擬收購或增資控制的51%股權“標的股權”，前述交易“此次股權交易”)。根據前期初步審計及評估情況，並經各方協商，重組方合併總資產(不含原燃材料、產成品半成品等存貨，下同)估值暫定為11億元。各方確認，重組方此次擬納入合作的水泥項目資產範圍包括但不限於：
蘭淩水泥一條日產1000噸、一條日產5000噸水泥熟料生產線及配套項目、相關的土地廠房等資產；蘭澤建材年產60萬噸礦渣微粉項目及相關資產；亞鱷水泥一條在建日產5000噸水泥熟料生產線及配套石灰石礦採礦權、土地等資產。
此次擬簽署的《合作框架協議》旨在發揮雙方優勢，共同發展，實現合作共贏，符合公司提升主業綜合競爭力的戰略發展規劃；合作項目具有較好的產業基礎和區位優勢，可進一步增強公司總體規模實力，完善產業區域戰略佈局，提升公司綜合價值。
