建發股份(600153.SH)：子公司擬成立“華泰-建發鷺洲裏資產支持專項計劃”
格隆匯 3 月 15日丨建發股份(600153.SH)公佈，建發房產擬在上述無異議函有效期內成立“華泰-建發鷺洲裏資產支持專項計劃”，本期專項計劃的主要要素如下：
1．專項計劃名稱：華泰-建發鷺洲裏資產支持專項計劃；2．原始權益人：建發房地產集團有限公司；
3．專項計劃管理人：華泰證券(上海)資產管理有限公司；
4．債務人：成都華翊龍房地產開發有限公司；
5．專項計劃基礎資產：由原始權益人在專項計劃設立日轉讓給管理人的、原始權益人根據《借款合同》對債務人享有的借款債權，債務人持有和運營管理成都建發鷺洲裏商業房地產而在各特定區間內取得的全部淨現金流，包括但不限於扣除物業運營成本和税費後的租金淨收入以及其他業務淨收入為《借款合同》項下債務的重要還款來源；
6．專項計劃產品發行規模：本期專項計劃資產支持證券目標募集規模為11億元人民幣；
7．結構化設置：資產支持證券將分為優先級資產支持證券和次級資產支持證券，其中優先級資產支持證券目標募集規模10億元人民幣，次級資產支持證券目標募集規模1億元人民幣；
8．增信措施：建發房產向管理人(代表專項計劃及專項計劃資產支持證券持有人)出具《差額支付承諾函》，承諾對專項計劃資金根據《標準條款》不足以支付專項計劃費用和優先級資產支持證券的本金及預期收益的差額部分承擔補足義務；建發房產向管理人出具《購回承諾函》，承諾發生售回和購回事項時，根據管理人書面通知的要求，購回全部有效申請售回的優先級資產支持證券；
9．專項計劃產品期限：自專項計劃設立日(含該日)起至法定到期日止(含該日)，預期期限為18年；
10．承銷方式：由華泰證券(上海)資產管理有限公司通過簿記建檔、集中配售或監管機構認可的其他銷售方式，通過計劃管理人的營業場所向合格投資者銷售；
11．掛牌場所：上海證券交易所。
