爱帝宫(00286.HK)：拟根据第一份认购协议发行认购股份 联席主席朱昱霏认购2.49亿股
格隆汇 3 月 14日丨爱帝宫(00286.HK)公布，此前若干公告披露，涉及收购深圳爱帝宫母婴健康管理有限公司88.5184％的股权；及根据特别授权认购新股份。
根据第一份认购协议，于认购人A及认购人B已妥为收取其各自有权收取的获利能力付款并在扣除所得税及相关开支后，认购人A及认购人B须各自使用现金代价以认购第一次认购股份。完成第一次认购事项须待，除其他事项外，认购人A及认购人B已收取彼等各自有权收取的第四期款项及第五期款项(视情况而定)。
认购人A和认购人B将第四期及第五期款项分别用于认购最多222,006,334股和42,093,632股股份(统称“认购股份”)。相关股份的发行和配发预计将于2021年6月或之前完成。
根据第一次认购协议中条款，将原发行给认购人A及认购人B的股份现发行给指定并由公司同意的朱昱霏、李军等23位人士(彼等人士为集团员工)。
发行完成后，公司的股权结构变化如下：
联席主席兼执行董事张伟权为Champion Dynasty Limited的唯一董事，并拥有其全部已发行股本。根据日期为2020年1月8日的相关权益披露通知，Golden Full Holdings Limited持有Champion Dynasty Limited的500,000,000股股份的抵押权益。
三泰富环球增长独立投资组合基金以投资基金身份持有股份。
值得注意的是，发行给朱昱霏合计249,151,755股股份包括(i)作为认购方A的第一批认购股份；(ii)认购人B指定并经公司根据第一份认购协议同意发行给认购人B的部分股份。朱昱霏乃公司执行董事、联席主席。
朱昱霏，李军，杜丽娟，朱荣，刘琼宇，刘劲军，李杰，陈洁珊，李淑芳，夏迎，殷延芬，胡翠菲，黄经玲，洪友盛，林建瑜，刘永晶，刘珂珂，肖俐垚，林茵子，严欢，宗可庆，朱雯及唐义雄是集团的员工。
