航天彩虹(002389.SZ)：擬對無人機業務進行整合暨公司組織機構調整
格隆匯 3 月 14日丨航天彩虹(002389.SZ)公佈，公司為加快轉型升級，優化內部資源配置，加強集約化經營，降低公司的綜合成本，以適應無人機國內型號市場、國際業務市場和民用市場的差異化管理要求，公司擬對無人機業務進行整合，即將航天彩虹的研發相關業務整合至全資子公司彩虹無人機科技有限公司(“彩虹公司”)；將彩虹公司的國際業務、民用業務整合至航天彩虹；並相應進行公司組織機構調整。
公司於2021年3月12日召開第五屆董事會第二十六次會議審議並通過了《關於公司無人機業務內部整合暨調整公司組織機構的議案》，同意公司進行無人機業務整合和組織機構調整。
根據《公司章程》及公司相關制度的規定，此次業務整合在公司董事會權限範圍內，無需提交公司股東大會審議。
整合完成後，航天彩虹主要承擔彩虹無人機及載荷應用等的國際業務和民用業務，彩虹公司主要承擔彩虹無人機研發和國內型號任務，控股子公司航天神舟飛行器有限公司(“神飛公司”)保持其現有業務不變。各公司無人機業務主要分工定位如下：
航天彩虹主要承擔戰略管控、財經管控、科研質量管控、彩虹無人機及載荷應用等的國際業務和民用業務；彩虹公司主要定位於彩虹中大型無人機及機載武器的研發、設計、生產，國內型號研發、設計、生產、項目履約、產品交付、培訓和售後服務；神飛公司主要定位於部分無人機結構件、部件產品的生產製造，旋翼機及特種用途無人機的研發、設計、生產、項目履約、產品交付、培訓和售後服務。
根據公司發展定位和無人機業務內部整合方案，公司擬新設彩虹無人機平台總師和載荷應用總師，另改組公司原部門設置，撤銷研發部，新設產品保證中心、財務共享服務中心、無人機國際事業部和無人機運營事業部。
調整後的公司組織機構為：綜合辦公室(黨委辦公室)、產品保證中心、證券部(董事會辦公室)、財經管理部、財務共享服務中心、人力資源部、審計法務部、無人機國際事業部、無人機運營事業部。
此次無人機業務內部整合和公司組織機構調整，是在公司現有業務板塊內進行的組織架構調整，目的是打造邊界清晰的組織架構，明晰各業務實施主體的權、責，集中力量打造專業化板塊，理順彩虹無人機科研生產管理體系，最大程度地優化內部資源配置，進一步加強公司在無人機領域的綜合競爭力。
