森林包裝(605500.SH)：董事長親屬短線交易公司股票
格隆匯 3 月 14日丨森林包裝(605500.SH)公佈，經核查，公司董事長林啟軍的兒子林木存在短線交易公司股票的行為，違反了《證券法》的相關規定，現將相關情況公吿如下：
經公司核查，林木於2020年12月25日至2021年2月19日期間買賣公司股票，累計買入公司股票3000股，累計賣出公司股票3000股，構成短線交易。
公司知悉此事後高度重視，及時調查瞭解相關情況，林木亦積極配合、主動糾正。經研究，本次事項的處理情況及補救措施如下：
1、《證券法》第四十四條規定：上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。但是，證券公司因購入包銷售後剩餘股票而持有百分之五以上股份，以及有國務院證券監督管理機構規定的其他情形的除外。前款所稱董事、監事、高級管理人員、自然人股東持有的股票或者其他具有股權性質的證券，包括其配偶、父母、子女持有的及利用他人賬户持有的股票或者其他具有股權性質的證券。
據此規定，林木在買入後六個月內賣出公司股票行為構成短線交易，由於其賣出價低於買入價，該次短線交易沒有產生收益，故無收益上交公司。
2、公司董事長林啟軍對於未能及時盡到督促義務深表自責。林啟軍對本次違反《證券法》第四十四條相關規定的違規短線交易公司股票的行為深表歉意，並表示以後將嚴格遵守相關法律、法規等規定，規範自身證券交易行為，自覺維護證券市場秩序，杜絕此類情況再次發生。同時林木聲明：其買賣公司股票均為個人對二級市場交易情況作出的獨立判斷，不存在利用內幕信息進行交易謀求利益的情形。
3、公司董事會向全體董事、監事、高級管理人員對上述短線交易買賣股票的行為予以通報，要求引以為戒。
4、公司要求持有上市公司股份百分之五以上股份的股東、董事、監事、高級管理人員進一步加強對《證券法》、《上海證券交易所股票上市規則》、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》、《上市公司股東、董監高減持股份的若干規定》等相關法律法規及公司內控制度的學習，嚴格遵守有關規定，杜絕此類事項的再次發生。
