數源科技(000909.SZ)：杭州信息科技及西湖數源軟件園所持相關股份的鎖定期自動延長6個月
格隆匯 3 月 12日丨數源科技(000909.SZ)公佈，根據中國證券監督管理委員會核發的《關於核准數源科技股份有限公司向杭州信息科技有限公司等發行股份購買資產並募集配套資金的批覆》(證監許可[2020]1240號)，公司向杭州信息科技有限公司發行4390.4536萬股股份、向杭州西湖數源軟件園有限公司發行1975.7149萬股股份購買相關資產，發行價格為7.53元/股，此次發行股份購買資產的新增股份已於2020年10月29日上市。
杭州信息科技有限公司、杭州西湖數源軟件園有限公司承諾：
“通過本次交易取得的股份(“新增股份”)，自新增股份上市日起36個月內或業績補償實施完畢前(以孰晚為準)不以任何方式進行轉讓或上市交易，之後按照中國證監會及深圳證券交易所的有關規定執行；本次發行結束後，本公司由於數源科技送紅股、轉增股本等原因增持的數源科技股份，亦應遵守上述約定。
本次交易完成後6個月內，如數源科技股票連續20個交易日的收盤價低於發行價，或者交易完成後6個月期末收盤價低於發行價的，本公司在本次交易中認購的數源科技股票的鎖定期自動延長6個月；如本次交易因涉嫌所提供或披露的信息存在虛假記載、誤導性陳述或者重大遺漏，被司法機關立案偵查或者被中國證監會立案調查的，在案件調查結論明確以前，本公司不轉讓在數源科技擁有權益的股份。
若承諾人關於上述新增股份鎖定期的承諾與證券監管機構的最新監管意見不相符，承諾人同意屆時根據相關證券監管機構的監管意見就鎖定期進行相應調整。
上述鎖定期屆滿後，新增股份轉讓和交易按屆時有效的法律、法規、中國證監會及深交所的有關規定執行。”
經公司自查，截至2021年3月12日，數源科技股票存在連續20個交易日的收盤價低於發行價的情形。根據前述承諾，杭州信息科技有限公司持有的4390.4536萬股股份、杭州西湖數源軟件園有限公司持有的1975.7149萬股股份的鎖定期將在原鎖定期36個月的基礎上自動延長6個月，即股份鎖定期延長至2024年4月28日。上述延長承諾鎖定期的股份未解除限售前，因公司送紅股、轉增股本、配股等原因而增加的股份亦將遵守相關承諾。
