五洲新春(603667.SH)擬不超9300萬元受讓恆進動力100%股權
格隆匯 3 月 12日丨五洲新春(603667.SH)公佈，公司擬與關聯方浙江恆鷹動力科技股份有限公司(“浙江恆鷹”)簽訂《關於浙江恆進動力科技有限公司的股權收購協議》，公司擬以不超過人民幣9300萬元的價格受讓浙江恆鷹所持有的浙江恆進動力科技有限公司(“恆進動力”)100%股權。
恆進動力是浙江恆鷹的全資子公司，未開展實體經營，其主要資產為4項建築物及1項土地使用權。建築物包括精密鑄造廠房、材料廠房等，建築面積為25,908.24方米；土地位於紹興市新昌縣梅渚鎮馬家莊村，土地使用權面積59,177.30㎡，土地用途為工業，使用期限至2067年5月2日止。
公司立足於高端裝備製造業、汽車和航空產業的精密零部件製造，企業轉型升級取得實質性進展。為進一步拓展公司高端產品應用領域，為新應用領域產品項目的規模化生產提前佈局產能，公司擬受讓浙江恆鷹所持的恆進動力100%股權，通過受讓股權的方式獲取上述土地使用權和房產建築，作為公司未來高端產品新建項目或擴建項目的儲備用地和廠房。
自上市以來，公司一直致力於企業轉型升級，在做強做大軸承業務的同時，研發生產和佈局新能源汽車、航空航天等領域的精密零部件，研發生產的安全氣囊氣體發生器部件、風電滾動體，球環滾針軸承產品等已快速實現進口替代，公司產品收入結構逐年優化，產品應用向新能源汽車、海上風電、新型電梯等領域延伸。
公司遵循“立足全球高端裝備製造領域”的戰略思路和逐步實現產品“進口替代”的長遠發展規劃，力求進一步拓展高端產品應用領域。公司現階段產能利用率逐年增長並已趨於飽和，此次交易是公司為新應用領域產品項目的規模化生產儲備土地、廠房，此次標的恆進動主要為優質不動產，且位於公司新昌梅渚生產基地附近，後續易進行有效整合。另一方面，浙江新昌作為全國百強縣，工業基礎發達，企業數量眾多，多年以來土地資源始終較為緊缺。此次交易完成後，公司可充分利用新昌軸承產業集聚地的特色資源，並依託公司全產業鏈的優勢，為公司未來新建項目或擴建項目提供優質儲備用地，符合公司的長遠戰略規劃。
