格隆匯 3 月 12日丨*ST利源(002501.SZ)公佈，公司於2021年3月12日召開了第四屆董事會第二十九次會議，審議通過了《關於設立全資子公司的議案》。
此次擬設立北京昆泰精製新材料科技有限公司(具體以市場監督管理部門核准並登記的信息為準。)；註冊資本：1000萬元人民幣；擬經營範圍：納米複合特種新材料的研發、生產、銷售、技術諮詢服務；保温工程，防腐工程，防水工程，設備安裝工程施工；企業管理諮詢；貨物進出口，技術進出口；國內一般貿易。五金產品批發；化工產品銷售(不含許可類化工產品)；水泥製品銷售；石油製品銷售(不含危險化學品)；金屬材料銷售；電線、電纜經營；電子產品銷售；移動通信設備銷售；建築材料、機械設備、通訊設備、煤炭及製品銷售。(除依法須經批准的項目外，憑營業執照依法自主開展經營活動)
擬設立重慶隆犇新材料科技有限公司（具體以市場監督管理部門核准並登記的信息為準。）；註冊資本：1000萬元人民幣；擬經營範圍：工業節能裝備的研發、生產、銷售、技術服務。五金產品批發；化工產品銷售(不含許可類化工產品)；水泥製品銷售；石油製品銷售(不含危險化學品)；金屬材料銷售；電線、電纜經營；電子產品銷售；移動通信設備銷售；銷售建築材料、裝飾材料、有色金屬、瀝青、水泥、煤炭、鋼材；(除依法須經批准的項目外，憑營業執照依法自主開展經營活動)
擬設立浙江鑫鑰新材料科技有限公司(已核名，具體以市場監督管理部門核准並登記的信息為準。)；註冊資本：1000萬元人民幣擬經營範圍：傳熱材料、合金材料的研發、生產、銷售、技術服務；五金產品批發；化工產品銷售(不含許可類化工產品)；水泥製品銷售；石油製品銷售(不含危險化學品)；金屬材料銷售；電線、電纜經營；電子產品銷售；移動通信設備銷售；銷售建築材料、裝飾材料、有色金屬、瀝青、水泥、煤炭、鋼材。(除依法須經批准的項目外，憑營業執照依法自主開展經營活動)
公司此次設立全資子公司的目的主要是為了提高企業經營管理能力，增強企業綜合實力。此次投資的資金來源均為公司自有資金，不會對經營成果產生不良影響，不存在損害上市公司及股東利益的情形。
