萬德斯(688178.SH)擬不超2.36億元購買時代桃源81.45%股權
格隆匯 3 月 12日丨萬德斯(688178.SH)披露發行股份、可轉換公司債券及支付現金購買資產並募集配套資金預案，此次交易方案包括此次購買資產及此次配套融資兩部分，具體內容如下：
上市公司擬向寧顯峯等17名原股東發行股份、可轉換公司債券及支付現金購買其持有的北京時代桃源環境科技股份有限公司81.45%股權。同時，萬德斯擬向不超過35名特定對象發行可轉換公司債券募集配套資金，募集資金金額不超過此次交易中萬德斯以發行股份、可轉換公司債券方式購買資產的交易價格的100.00%。募集配套資金用於支付此次交易現金對價、重組相關費用，並用於上市公司、標的公司補充流動資金。其中補充流動資金不應超過交易作價的25%；或者不超過募集配套資金總額的50%。如有不足的部分由上市公司以自有資金或自籌資金支付。
此次購買資產的標的資產為時代桃源81.45%股權，交易對方為標的公司股東寧顯峯等17名原股東。經各方友好協商，暫定此次交易標的公司的總作價不超過2.9億元；交易對方所持標的公司81.45%股權對應的交易價格不超過人民幣約2.36億元。
經向上海證券交易所申請，公司股票將於2021年3月15日開市起復牌。
上市公司已涉足有機垃圾處理領域，曾為溧水天山水泥有限公司等客户提供廚餘處置設施的配套污水處理業務。此次收購標的公司已完成一系列具有行業影響力的典型案例，長期專注於有機垃圾處理領域。收購完成後，標的公司成為上市公司子公司，上市公司可以迅速切入有機垃圾處理這一爆發式增長的藍海市場，將有機垃圾處理業務打造成為新的利潤增長點，進一步豐富上市公司環保產業鏈佈局，完善和強化上市公司環境整體解決方案提供商的市場競爭力。
標的公司擁有32項專利技術，其中發明專利15項，不僅具備整體工藝技術研發能力，還擁有核心設備的研發和生產能力，多項工藝技術和裝備技術在業內領先。此次收購後，上市公司在有機垃圾處理業務領域將會延伸至餐廚廚餘垃圾全鏈接工藝處置市場。
上市公司長期從事垃圾滲濾液相關裝備製造和運營業務。垃圾滲濾液處理涉及綜合使用生物處理法、物化處理法、膜處理法、MVR蒸發處理法等技術方法對垃圾滲濾液、沼液進行處理，與標的公司有機垃圾預處理、生物厭氧處理技術可實現一定技術互補，為彼此技術優化提供技術支持和解決方案，便於從全工藝鏈的角度進行整體解決方案優化，共同為客户提供優化後的更具競爭力的整合系統解決方案，雙方在工藝和技術上具備較強的互補性。
上市公司與標的公司長期專注於環保領域，與地方環衞主管部門及大型環保企業均形成了長期良好的合作關係。同時，標的公司在有機垃圾處理業務領域積累了豐富的有市場影響力的實踐案例。此次收購後，雙方可實現客户資源、市場渠道、品牌影響等市場資源的共享，有利於拓寬各自的市場渠道和客户羣體，促使雙方在對方優勢市場領域的快速滲透，實現有機垃圾處理業務的快速佈局，為客户提供更加豐富和完善的解決方案。
