華域汽車(600741.SH)：延鋒公司擬80.64億元收購延鋒安道拓剩餘49.99%股權
格隆匯3月12日丨華域汽車(600741.SH)宣佈，2021年3月12日，公司全資子公司延鋒汽車飾件系統有限公司(簡稱“延鋒公司”)與Adient plc(簡稱“安道拓”)就延鋒安道拓座椅有限公司(簡稱“延鋒安道拓”)相關股權和其他相關資產等交易簽署《框架協議》及其他相關協議。
(1)交易一：擬由延鋒公司(或其指定方)出資80.6364億元人民幣，收購安道拓的全資子公司Adient Asia Holdings Co., Ltd.(簡稱“安道拓亞太”)持有的延鋒安道拓49.99%的股權。延鋒公司與原美國江森自控(現為安道拓)為開展中國座椅業務於1997年合資設立延鋒安道拓，延鋒公司和安道拓亞太分別持有延鋒安道拓50.01%和49.99%的股權，延鋒安道拓為延鋒公司的控股子公司，屬於華域汽車的並表範圍。
(2)交易二：延鋒安道拓所持有的重慶延鋒安道拓汽車部件系統有限公司(簡稱“重慶延鋒安道拓”)50%股權和延鋒安道拓(廊坊)座椅有限公司(簡稱“廊坊座椅”)100%股權擬轉讓給安道拓的全資子公司期躍(上海)貿易有限公司，上述股權對應轉讓價格分別為16.6815億元人民幣和8580萬元人民幣，該交易完成後，延鋒安道拓將不再持有重慶延鋒安道拓和廊坊座椅的股權，重慶延鋒安道拓和廊坊座椅將不再納入華域汽車並表範圍，該變化對華域汽車整體銷售收入和盈利水平的影響較小。
(3)交易三：延鋒安道拓所持有的延鋒安道拓方德電機有限公司(簡稱“方德電機”)70%股權和南通延鋒安道拓座椅面套有限公司(簡稱“南通面套”)75%股權擬轉讓給延鋒公司的控股子公司愷博座椅機械部件有限公司(原延鋒安道拓座椅機械部件有限公司，現已更名為愷博座椅機械部件有限公司，延鋒公司與安道拓亞太分別持有其50%股權，簡稱：愷博座椅)，上述股權對應轉讓價格分別為7050萬元人民幣和1.1302億元人民幣，該交易完成後，方德電機和南通面套仍為延鋒公司的控股子公司，方德電機和南通面套仍將納入華域汽車並表範圍。
(4)交易四：延鋒公司和愷博座椅擬分別收購安道拓亞太直接持有的延鋒安道拓下屬三家企業的少數股東股權：廣州東風安道拓座椅有限公司25%股權(簡稱“廣州東風安道拓”)、合肥雲鶴安道拓汽車座椅有限公司10%股權(簡稱“合肥雲鶴安道拓”)、南通延鋒安道拓座椅面套有限公司25%股權，其中，延鋒公司擬分別以3.71億元人民幣和1320萬元人民幣的對應價格收購廣州東風安道拓25%股權和合肥雲鶴安道拓10%股權；愷博座椅擬以3768萬元人民幣的對應價格收購南通面套25%股權。該交易完成後，延鋒公司和延鋒安道拓將合計持有廣州東風安道拓75%股權、合肥雲鶴安道拓43%股權；愷博座椅將持有南通面套100%股權。
(5)交易五：延鋒公司擬向安道拓支付3.85億元人民幣，以獲得安道拓全球範圍汽車座椅產品相關知識產權的永久許可使用權。
