華鐵股份(000976.SZ)：擬收購青島兆盈100%股權 明起復牌
格隆匯 3 月 11日丨華鐵股份(000976.SZ)公佈，華鐵股份擬採用發行股份及支付現金的方式購買重慶兆盈軌交、濟南港通合計持有的青島兆盈100%股權。其中，向重慶兆盈軌交以發行股份的方式收購其所持有的青島兆盈38%股權，以現金支付的方式收購其所持有的青島兆盈38%股權；向濟南港通以發行股份的方式收購其所持有的青島兆盈24%股權。
青島兆盈間接持有BVVBT以及香港利合100%股權。BVV集團為行業內全球領先的軌道交通輪軸製造商，專注於高鐵車輛及其他軌道交通車輛的車輪、車軸和輪對的研發、生產和銷售。香港利合為BVV集團在亞太地區(包括中國境內客户)的合法銷售代理平台。
此次交易完成後，BVVBT以及香港利合將成為華鐵股份的子公司。
截至預案摘要簽署之日，此次交易相關的審計、評估/估值工作尚未完成，預估值尚未確定。本次重組涉及的標的資產最終財務數據、評估/估值結果將在符合《證券法》要求的會計師事務所、評估/估值機構出具正式審計報吿、評估/估值報吿後確定，相關審計、評估/估值數據和最終交易價格將在重組報吿書中予以披露。
同時，公司擬同時向不超過35名投資者非公開發行股份募集配套資金，用於支付此次交易現金對價、補充上市公司流動資金和償還債務及支付中介機構費用等。此次募集配套資金髮行的股票數量不超過本次交易前上市公司總股本的30%，且募集資金總額不超過公司本次交易中以發行股份方式購買資產的股份對價的100%。
此次募集配套資金以發行股份及支付現金購買資產的生效和實施為前提條件，但募集配套資金成功與否並不影響本次發行股份及支付現金購買資產的實施。如本次募集配套資金未能成功實施，則上市公司將使用自有或自籌資金分期支付本次交易的現金對價部分。在本次配套募集資金到位之前，公司若根據實際情況自籌資金先行支出，在配套募集資金到位後，將使用配套募集資金置換已支出的自籌資金。
此次交易完成後，標的資產的軌道交通車輪、車軸以及輪對的生產和銷售業務將進入上市公司，豐富華鐵股份的產品體系，增強技術優勢、優化產品結構、提高市場渠道優勢，提高華鐵股份在軌道交通核心零部件領域的綜合競爭力。
軌道交通裝備製造行業屬於資金密集型和技術密集型行業，擁有較高的技術、品牌、資質認證、產品認證和市場渠道壁壘，而高速動車組車輪、車軸及輪對的精度和質量直接關係到列車的安全性能，其生產難度、技術要求、行業准入均超普通軌道交通零部件產品。
標的公司擁有深厚的技術底藴、成熟的規模化生產能力，在鍛造、熱處理和機加工方面擁有獨特、成熟的工藝，將有效增強上市公司的技術優勢、優化產品結構；標的公司擁有德國鐵路股份公司的Q1級供應商資格，擁有包括中國在內的全球主要經濟體的鐵路公司准入許可，且擁有面向全球的銷售和服務網絡，憑藉上市公司的平台優勢，雙方將共同維護國際、國內客户關係，提高響應速度、增強售後支持，從而提升產品的市場渠道優勢；標的公司擁有卓越品牌影響力，是國際化高端裝備製造企業，上市公司可通過標的公司提高在全球範圍的行業影響力，為公司打造國際化軌道交通核心零部件平台起到積極推動作用。
公司股票自2021年3月12日上午開市起復牌。
