*ST鹽湖(000792.SZ)：擬收購元品化工、鹽湖鎂業應急救援中心必要資產及將SAP/ERP系統轉讓給鹽湖鎂業
格隆匯 3 月 11日丨*ST鹽湖(000792.SZ)公佈，公司司法重整期間，青海匯信資產管理有限責任公司(“青海匯信”)與公司管理人達成《資產收購協議》，青海匯信以30億元承接鹽湖股份化工分公司(“元品化工”)資產、青海鹽湖鎂業有限公司(“鹽湖鎂業”)債權和股權。為有效平衡和整合雙方優勢，結合公司自身發展需要，確保公司獨立性等因素，公司擬通過“收購、轉讓”等方式對相關資產進行處置，具體情況如下：
關於收購元品化工、鹽湖鎂業應急救援中心必要資產：2019年3月，公司整合原化工分公司(元品化工)及其原子公司鹽湖鎂業的應急救援隊，組建了青海鹽湖工業股份有限公司應急救援中心，依託國家危險化學品應急救援格爾木基地的組建，形成統一的應急救援指揮系統。當時，作為公司分子公司的原化工分公司及鹽湖鎂業提供了部分流動資產及部分房屋及土地供該應急救援中心使用。公司在司法重整中完成相關資產的處置，元品化工、鹽湖鎂業不再是公司分子公司，但公司應急救援中心部分資產仍在元品化工和鹽湖鎂業賬面，存在資產共用問題，為確保公司應急救援中心順利開展地區應急救援工作，公司擬收購元品化工及鹽湖鎂業擁有並投入應急救援中的必要流動資產，收購價格由各方共同委託評估機構對標的流動資產進行評估確定。
關於將公司的SAP/ERP系統轉讓給鹽湖鎂業：為貫徹落實青海省關於加快培育和發展市場主體的決策部署，充分發揮信息服務專項資金在培育新興產業、調整產業結構的引導和帶頭作用，公司於2014年啟動“信息化總體規劃項目”，結合公司當時實際情況，以鹽湖鎂業公司作為試點單位，同時兼顧總部總體設計的思路來實施鹽湖股份ERP系統。建設主要內容為以SAP/ERP軟件為基礎構建公司經營管理平台，在公司總部和鹽湖鎂業實施SAP/ERP系統，包括平台軟件和硬件採購、集成等。公司在司法重整中完成相關資產的處置，鹽湖鎂業不再是公司子公司，但該資產仍在公司賬面上。為解決資產獨立性問題，公司擬將原鹽湖鎂業試點使用的SAP/ERP系統及其必要配套硬件設施一併轉讓與鎂業公司，具體轉讓範圍及金額以雙方共同委託中介機構進行評估結果為準。
