夢東方(00593.HK):擔保人天洋控股向法院申請反對關於房山土地的估值
格隆匯 3 月 11日丨夢東方(00593.HK)公佈,公司的間接全資附屬公司北京天洋基業投資有限公司("借款人",作為借款人)與恆豐銀行股份有限公司北京分行("恆豐銀行",作為貸款人)於2017年1月10日訂立貸款協議,據此,恆豐銀行向借款人授出定期貸款人民幣28億元,為期五年,用於撥付借款人擁有的中國北京房山區一幅土地("房山土地")的開發及建築成本。房山土地已抵押予恆豐銀行,作為償還貸款的抵押品之一。於2020年2月28日,貸款及相關抵押品下的所有權利已由恆豐銀行轉讓予山東省金融資產管理股份有限公司("山東資管")。
於公佈日期,借款人拖欠未償還本金約人民幣25.10億元及應計利息約人民幣1.28億元。
於2020年8月13日,北京市第二中級人民法院("法院")已頒佈執行裁定書(2020)京02執764號("執行裁定書"),據此,其頒令(其中包括)山東資管有權透過拍賣或出售房山土地強制執行貸款的抵押品,並就拍賣或銷售(視情況而定)所得款項享有優先權。天洋控股集團有限公司("擔保人")(為貸款的擔保人之一及公司的關連公司)已向法院申請頒令禁止強制執行執行裁定書,但於2020年11月13日被法院駁回。
於2020年12月,借款人獲山東資管吿知,(i)其有意透過公開拍賣("拍賣")房山土地強制執行該土地的抵押,作為貸款的補償("強制執行行動");及(ii)已向法院申請取得房山土地的估值,作為山東資管釐定拍賣底價的依據。根據由獨立估值師所編制日期為2020年12月2日的估值報吿,房山土地於2020年10月23日的估值約為人民幣27.987億元("估值")。
於2021年1月13日,擔保人向法院申請反對估值("申請"),並於2021年3月初獲法院吿知,法院已委任北京房地產估價師和土地估價師與不動產登記代理人協會就申請依據提供專業技術評審工作("評審")。於公佈日期,評審的結果尚未公佈。
