愛康科技(002610.SZ)子公司蘇州中康電力及參股公司愛康能源與福建國電投簽署遼寧、河南、山東400MW光伏電站項目的併購意向協議
格隆匯 3 月 11日丨愛康科技(002610.SZ)公佈，公司全資子公司蘇州中康電力開發有限公司(“蘇州中康電力”，乙方)及公司參股公司蘇州愛康能源集團股份有限公司(“愛康能源”，丙方)與國家電投集團福建新能源有限公司(“福建國電投”，甲方)簽署了《遼寧、河南、山東400MW光伏電站項目的併購意向協議》，主要是基於三方有意願共同打造異質結太陽能組件實證基地，共同以科技創新推動產業升級、打造光伏行業優勢品牌。協議主要內容如下：
1、乙方、丙方有意轉讓持有遼寧、河南、山東400MW光伏電站相關項目公司的部分股權。同時乙方、丙方協調項目公司另一股東向甲方出讓部分股權，致使甲方持有項目公司的控制權，甲方同意根據本協議約定受讓該等股權，乙方負責旗下項目公司光伏電站合規手續辦理，及確保項目公司其餘股東書面同意本協議項下的股權轉讓行為並放棄優先購買權。
2、甲方同意在錦州中康60MW平價項目，遼寧佳鴻100MW地面項目採購公司全資子公司蘇州愛康光電科技有限公司160MW高效異質結HJT組件。
3、項目公司股權轉讓至甲方名下後，甲方優先採用公司全資子公司蘇州中康電力運營有限公司作為電站的運維單位，具體運維價格以雙方簽訂的運維合同為準。
4、三方對於因簽署和履行本協議而獲得的包括但不限於本協議的各項條款、有關本協議的談判及本協議任何一方的商業祕密和經營機密等保密信息，應當嚴格保密，任何一方未經另一方事先書面同意，不得向任何第三方披露。在該項目的建設合作過程中任何一方不得對外口頭或書面披露三方合作的相關事宜。
5、三方合作具體事宜另行簽訂股權併購協議。如果三方在2021年9月30日之前無法簽訂股權併購協議，則本意向書自動失去效力；但如果三方認可的特殊情況可對期限予以適當延長，三方可就此另行簽訂補充協議。
