弘信電子(300657.SZ)：擬以7964.87萬元收購弘信通訊100%股權
格隆匯 3 月 10日丨弘信電子(300657.SZ)公佈，為滿足公司業務發展和經營規劃需要，公司擬以自有及自籌資金7964.87萬元收購廈門豐億達商貿有限公司(“豐億達商貿”)持有的廈門弘信通訊科技有限公司(“弘信通訊”或“標的公司”)100%的股權，此次收購完成後，弘信通訊將成為公司子公司，納入公司合併報表範圍。2021年3月10日，公司與豐億達商貿在廈門市翔安區簽署了《股權轉讓協議》。
此次交易對手豐億達商貿為公司控股股東弘信創業工場投資集團股份有限公司(“弘信創業工場”)持股90%的控股子公司，豐億達商貿最終實際控制人為李強，豐億達商貿與上市公司為同一控制下的企業。根據《深圳證券交易所創業板股票上市規則》的相關規定，豐億達商貿為公司關聯方，此次交易構成關聯交易。
此次收購的標的資產距離公司本部1公里左右，交通快捷便利。為提升SMT自給率，公司及子公司在此次交易前已向標的公司承租廠房合計2.3萬餘平，租期十年，租賃期內租金合計約5079.12萬元。租賃廠房用於公司SMT生產，同時作為公司FPC+事業部基地，承接以FPC為基礎的FPC+業務。隨着公司SMT業務擴大以及FPC+新業務版塊起量，租賃廠房目前已不能滿足擴產需求。標的公司已建及在建廠房建築面積4萬餘平，此次收購後，可在很大程度上滿足公司SMT業務及EMS業務高速發展的場地需求。
因廈門土地資源稀缺，公司本部廈門翔海廠已不能滿足自身需求。公司通過在湖北荊門、江西鷹潭設廠，解決部分產能擴張需求。但產能異地建設僅解決制造部分對場地的需求，廈門本部作為公司的管理及研發基地，仍面臨缺少場地的窘境。標的公司擁有3棟廠房、1棟十二層的研發大樓，本次收購完成後，公司的研發基地也將轉移至標的公司園區，公司將充分發揮弘信柔性電子研究院的研究與孵化能力，吸納聯合大量產業上游企業進駐園區推進關鍵設備及材料的聯合研發以實現國產替代，打通產業鏈的系統研發能力，有利於產業鏈協同研發，攻克技術難關，提升公司競爭力。
同時，公司翔海廠本部由於土地十分有限，廠內配套員工宿舍嚴重不足，缺少居住條件也造成公司員工流失率較同類企業偏高。此次收購完成後，公司有條件在新園區內規劃建設員工宿舍，較大程度上解決員工住宿問題，穩定員工隊伍，對提升公司的經營能力有較大幫助。
綜上所述，此次交易所涉及的地塊及房產的稀缺性及區位優勢明顯，此次交易涉及的土地、房產及在建工程的實際市場價值已大大超過賬面價值。此次收購除現階段滿足公司對生產廠房、研發大樓的迫切需求外，還將有條件建設員工宿舍以穩定員工隊伍，具有重大經濟價值和戰略意義。
