金奧博(002917.SZ)擬與京煤集團共同出資組建合資公司 提升民爆器材生產、製造能力
格隆匯 3 月 8日丨金奧博(002917.SZ)披露出資組建合資公司重大資產重組預案，上市公司擬與京煤集團共同出資成立合資公司，其中金奧博以現金方式進行出資，京煤集團以持有的股權資產進行出資；出資完成後，金奧博持有合資公司51%的股權，京煤集團持有合資公司49%的股權。
京煤集團擬出資的資產為其持有的河北太行100%股權。河北太行持有宣化紫雲的80%股權、天津宏泰的67%股權、北京正泰的100%股權、北京安易迪的47%股權。
此次交易的標的資產的預估值不超過2.3億元，標的資產的評估金額最終以京煤集團上級有權國資監管單位備案的資產評估報吿載明的評估值確定。
上市公司擬與京煤集團共同出資成立合資公司，其中金奧博以現金方式進行出資，京煤集團以持有的股權資產進行出資；出資完成後，金奧博持有合資公司51%的股權，京煤集團持有合資公司49%的股權。此次交易後，金奧博間接控制河北太行及其子公司。
上市公司是國內集研發、設計、製造、服務於一體的民爆智能裝備龍頭企業。上市公司主營業務包括為民用爆破行業客户提供生產民用爆破器材的成套工藝技術、智能裝備、軟件系統、關鍵原輔材料的一站式綜合服務，併為銷售和使用民爆器材的客户提供工業炸藥、雷管、導爆管等產品和爆破服務。
此次交易的河北太行從事民爆器材的研發、生產、銷售業務及爆破服務業務，與上市公司已有部分業務相同，同時繫上市公司智能裝備製造業務的下游企業。此次交易完成後，上市公司將取得標的公司的炸藥、雷管等民爆器材產能。上市公司將新增產能乳化炸藥3.8萬噸、銨油炸藥(含混裝車)1.8萬噸、膨化硝銨炸藥1.2萬噸、工業導爆索1000.00萬米、工業電雷管500.00萬發、電子雷管1000.00萬發、導爆管雷管1500.00萬發。此次交易將顯著提升上市公司民爆器材的生產、製造能力，增強與上市公司原有智能裝備技術的協同效應，進一步促進上市公司向民爆器材產業鏈下游延伸。
同時，此次交易標的主要位於河北省及天津市，銷售區域主要輻射河北省。此次交易完成後，上市公司的民爆器材銷售區域將在原有的山東省、江蘇省等主要省份基礎上擴張至河北省及附近區域，有利於上市公司建立區域優勢。
