創毅控股(03992.HK)：招商局集團擬3.9億港元要約收購53.51%股權
格隆匯 3 月 8日丨中外運航運有限公司及創毅控股(03992.HK)聯合公吿，董事會獲公司控股股東Genesis Group吿知，2021年3月5日，Genesis Group(作為賣方)、要約人(即中外運航運有限公司，由招商局集團最終全資擁有)及擔保人(即潘建良、李兆華、黎偉文及黃景祥)訂立購股協議，據此，要約人已有條件同意收購銷售股份(即267,562,500股股份，佔於本聯合公吿日期公司全部已發行股本的約53.51%)，當中並不附帶產權負擔及於完成日或的後其所附帶的一切權利，總代價約為3.896億港元，相當於每股銷售股份1.456港元。
於本聯合公吿日期，要約人及其一致行動人士並無於任何除購股協議項下的股份擁有權益。緊隨股份銷售完成後，要約人及其一致行動人士將擁有合共267,562,500股股份，相當於公司全部已發行股本約53.51%。因此，根據收購守則規則26.1，要約人將須就要約人及其一致行動人士未擁有或未同意收購的全部已發行股份(即無利害關係股份)作出強制性無條件現金要約。待股份銷售完成後，招商證券(香港)將代表要約人根據收購守則按每股要約股份現金1.456港元作出要約。要約價較股份於最後交易日在聯交所所報的收市價每股1.54港元折讓約5.5%
在強制收購有效期內，倘根據要約有效交回以供接納的無利害關係股份少於無利害關係股份的90%，要約人將無權行使強制收購權利，因此，公司不會從聯交所撤銷上市地位。由全體獨立非執行董事組成的獨立董事委員會已吿成立，以就要約向獨立股東提供意見。川盟融資有限公司已獲委任為獨立財務顧問，以就要約向獨立董事委員會及獨立股東提供意見。
根據披露，要約人為於香港註冊成立的有限公司，其透過SSH、中國經貿船務有限公司及招商局投資發展有限公司由招商局集團間接全資擁有。要約人及其附屬公司主要從事提供投資服務、提供船舶管理服務、投資控股及船舶租賃。於本聯合公吿日期，要約人董事會包括王有良先生及丁磊先生。經考慮物業管理行業的市場潛力後，要約人得以藉由該收購事項進軍香港的物業管理市場。通過該收購事項，要約人可利用集團的物業管理經驗，藉此促使要約人將其業務範圍擴展至物業管理市場。
