新華聯資本(00758.HK)擬1.86億港元收購新華聯發展投資全部股權
格隆匯 3 月 7日丨新華聯資本(00758.HK)發佈公吿，2021年3月5日，公司(作為買方)與新華聯亞洲實業投資有限公司(新華聯集團的直接全資附屬公司)訂立買賣協議，據此，賣方同意出售新華聯發展投資有限公司全部股權(目標公司，不附帶任何產權負擔)，總代價為1.86億港元。
目標公司主要從事物業租賃以及物業管理運營，並擁有位於北京通州區及朝陽區的目標物業組合。目標公司擁有擁有權權益的目標物業組合主要包括位於北京通州區及朝陽區的商業物業及幼兒園。
於本公吿日期，目標公司已向新華聯礦業有限公司及新華聯控股有限公司提供財務資助。預計該等財務資助將於完成後繼續存在。2019年3月8日，目標公司(作為抵押提供人)與貸款人1(作為承按人)訂立物業按揭協議1，據此，目標公司同意提供按揭物業作為抵押，以擔保新華聯礦業有限公司根據貸款協議1應付貸款人1的債項(包括本金人民幣6億元、任何應計利息、罰息、損害賠償以及強制執行物業按揭協議1項下的權利及押記時的任何成本及開支)而最高擔保額為人民幣6億元。2019年12月24日，目標公司(作為抵押提供人)與貸款人2(作為承按人)訂立物業按揭協議2，據此，目標公司同意提供按揭物業作為抵押，以擔保新華聯控股有限公司根據貸款協議2應付貸款人2的債項(包括本金人民幣9600萬元、任何應計利息、罰息、損害賠償以及強制執行物業按揭協議2項下的權利及押記時的任何成本及開支)而最高擔保額為人民幣9600萬元。
2021年3月5日，目標公司與新華聯控股有限公司訂立物業按揭協助協議，據此，目標公司同意提供物業按揭，而新華聯控股有限公司同意為其本身及新華聯礦業有限公司就物業按揭向目標公司支付物業按揭協助費。同日，目標公司已與新華聯控股有限公司訂立物業管理協議，據此，新華聯控股有限公司已授權目標公司對受託管理物業進行租賃及物業管理。
