中信建投證券(06066.HK)公佈近期涉及訴訟、仲裁進展情況
格隆匯 3 月 5日丨中信建投證券(06066.HK)公吿，根據《公司債券發行與交易管理辦法》《公司債券臨時報吿信息披露格式指引》等規定，現將債券發行人中信建投證券股份有限公司(以下簡稱“公司”或“發行人”)涉及訴訟、仲裁進展情況公吿如下：
一、基本情況(一)仲裁事項進展一公司作為申請人，就融資人王悦股票質押式回購業務違約事項向北京仲裁委員會(以下簡稱“北京仲裁委”)申請仲裁，具體內容詳見公司於2019年7月22日在上海證券交易所(以下簡稱“上交所”)披露的《中信建投證券股份有限公司涉及仲裁的公吿》，2020年2月8日披露的《中信建投證券股份有限公司及所屬子公司涉及訴訟、仲裁進展的公吿》及2020年9月11日披露的《中信建投證券股份有限公司涉及訴訟、仲裁及進展的公吿》。
公司申請強制執行後，上海金融法院輪候凍結了被執行人持有的愷英網絡(002517.SZ)461,570,064股股票，向被執行人發出限制消費令，通過其他財產調查措施未查詢到被執行人名下其他可供執行財產，故出具《執行裁定書》((2020)滬74執444號一)，本次執行程序結束。
(二)仲裁事項進展二公司作為申請人，就融資融券交易糾紛以融資人呂小奇為被申請人向北京仲裁委提起仲裁，具體內容詳見公司於2019年10月8日在上交所披露的《中信建投證券股份有限公司涉及仲裁的公吿》，2020年11月27日在上交所披露的《中信建投證券股份有限公司涉及訴訟、仲裁進展的公吿》。因融資人未在生效裁決規定的期限內履行償還義務，公司依據生效裁決書向上海金融法院申請強制執行((2021)滬74執88號)，目前案件正在執行程序中。
(三)仲裁事項進展三公司作為申請人，就融資人邵秀英股票質押式回購業務違約事項，向北京仲裁委申請仲裁，具體內容詳見公司於2020年8月28日在上交所披露的《中信建投證券股份有限公司涉及訴訟、仲裁進展的公吿》，2020年12月24日在上交所披露的《中信建投證券股份有限公司涉及訴訟、仲裁及進展的公吿》。因融資人未在仲裁調解書((2020)京仲調字第0389號)約定的期限內履行償還義務，公司依據生效調解書向山東省淄博市中級人民法院申請強制執行((2020)魯03執1279號)，目前案件正在執行程序中。
(四)訴訟事項進展公司作為原吿，代表管理的資產管理計劃，就吉林省交通投資集團有限公司作為債券發行人的違約事項提起訴訟，具體內容詳見公司於2020年4月30日在上交所披露的《中信建投證券股份有限公司涉及訴訟、仲裁進展的公吿》。案件受理後，因管轄權問題，依照相關法律法規，北京市第三中級人民法院將案件移送至吉林省長春市中級人民法院進行審理((2020)京03民初234號)。
近日，因涉案債券已賣出，公司代表資產管理計劃向吉林省長春市中級人民法院申請撤回起訴，法院做出准予撤訴的民事裁定書((2021)吉01民初7號)，本案結案。公司作為上述資產管理計劃的管理人，按照相關合同約定，在合法合規的範圍內處理相關事務。
上述資產管理計劃對債務人的債權權益實際歸屬於委託人所有，上述案件的最終訴訟結果由委託人實際承受。
