雲南白藥(000538.SZ)：優化在工業大麻產業鏈佈局 擬將雲藥公司劃轉至海南公司
格隆匯 3 月 4日丨雲南白藥(000538.SZ)公佈，為進一步優化產業佈局、組織架構、提升經營效率，充分利用海南政策、國際貿易等資源優勢培育發展優勢產業，進一步擴大雲南在工業大麻產業領域的全球影響力，整合國內外科研力量、專家團隊和產業資源，布局工業大麻全產業鏈，保障工業大麻業務的可持續和高質量發展，加快公司轉型升級的步伐，經公司充分研究，擬將雲南雲藥有限公司(“雲藥公司”)股權劃轉至雲南白藥集團(海南)有限公司(“海南公司”)，公司擬以2020年11月30日為基準日將公司持有的雲藥公司全部股權按賬面淨值(417,644,158.74元)劃轉至全資子公司海南公司。
此次劃轉後，公司不再直接持有云藥公司股權，變更為由海南公司直接持有云藥公司100%的股權。
雲藥公司是公司大麻產業鏈的組成部分，為進一步理順公司工業大麻相關資源，優化公司在工業大麻產業鏈佈局，根據業務開展需求調整公司組織架構，有效提升公司經營效率，公司決定對雲藥公司股權結構進行調整，由海南公司承接公司持有的雲藥公司100%股權。
為進一步擴大雲南在工業大麻產業領域的全球影響力，充分將雲南的原料種植優勢及海南的國際貿易前沿優勢相協同，公司擬進行此次劃轉。此次劃轉有利於公司更好地利用海南國際自貿港的資金、區位和產業服務平台優勢，整合國內外科研力量、專家團隊和產業資源，統籌公司工業大麻業務，佈局工業大麻全產業鏈。
此次劃轉旨在進一步合理化公司內部業務架構，實施同類業務優化整合，有利於明晰公司各業務板塊的職能權限，使公司戰略佈局更加清晰，提升整體管理效率，促進公司持續穩健發展。此次劃轉為公司與全資子公司之間的資產轉移，在公司合併報表範圍內進行，不涉及合併報表範圍變化，對公司未來財務狀況和經營結果不會產生重大影響，也不存在損害公司及股東利益的情形。
