聯明股份(603006.SH)擬5.49億元收購聯明包裝100%股權
格隆匯 3 月 3日丨聯明股份(603006.SH)披露發行股份購買資產暨關聯交易報吿書，此次交易為公司擬通過收購聯明包裝100%股權的方式，將聯明包裝的汽車零部件包裝器具業務納入上市公司體系，與公司現有的汽車零部件生產製造、零部件供應鏈物流服務進行有機整合，從而提升公司作為汽車整車製造商配套企業的綜合服務能力，進一步增強公司經營的核心競爭力。
公司擬以發行股份的方式收購聯明包裝100%股權。此次交易完成後，公司將直接持有聯明包裝100%股權，並通過聯明包裝間接持有上海包裝100%股權和煙台聯馳100%股權。此次聯明包裝100%股權的總體評估值為5.49億元。
此次交易實施前，上市公司的主營業務包括“汽車車身零部件業務”和“物流服務業務”兩大板塊。上市公司“汽車車身零部件業務”主要為車身零部件的開發、生產和銷售，目前的車身零部件產品主要為乘用車配套，主要客户為上汽通用、上汽大眾等整車製造商及部分零部件供應商，產品配套車型包括上汽通用別克品牌、雪佛蘭品牌、凱迪拉克品牌，上汽大眾的大眾品牌、斯柯達品牌等諸多車型。
上市公司“物流服務業務”主要為供應鏈管理服務，主要為客户提供數據分析、信息管理、集散管理、倉儲配送等第三方物流服務，目前具體業務主要包括循環物流器具管理業務、供應商管理庫存、入場物流業務等，主要客户為大型製造企業，包括上汽通用、上海延鋒金橋汽車飾件系統有限公司、上海夏普電器有限公司等。
此次交易實施後，上市公司將新增包裝器具業務，一方面，該業務與現有的“物流服務業務”在上下游、業務互補方面具有較高的協同效應，使得上市公司在重組後具有提供覆蓋物流產業上下游的服務能力；另一方面，也可與上市公司的汽車車身零部件業務進行整合，提升公司作為汽車整車製造商配套企業的綜合服務能力，提供包括汽車車身零部件的開發和生產、零部件包裝器具規劃、設計和製造，以及零部件供應鏈管理等全方位的綜合服務，從而進一步增強公司經營的核心競爭力，有利於公司未來長期健康、可持續發展。
