二、業績補償的可回收性存在重大不確定的風險提示
根據天職國際會計師事務所(特殊普通合夥)對標的公司永康眾泰公司2018年度的財務報表的審計結果，永康眾泰公司2018年度經審計後歸屬於母公司股東的以扣除非經常性損益以及配套募集資金所產生的損益後的淨利潤為-49142.6萬元，完成業績承諾的-30.52%。
根據標的公司永康眾泰公司2019年度的財務報表，永康眾泰公司2019年度歸屬於母公司股東的以扣除非經常性損益以及配套募集資金所產生的損益後的淨利潤為-33.12億元，完成業績承諾的-205.70%。(因天職國際會計師事務所對公司2019年年度財務報吿出具了無法表示意見審計報吿,所以此數據未能審計確認。)
永康眾泰公司2016-2019年度歸屬於母公司股東的扣除非經常性損益以及配套募集資金所產生的損益的淨利潤合計為-12.28億元，完成業績承諾的-21.03%。截至目前，鐵牛集團尚未償還業績補償款。
三、公司控股股東非經營性佔用公司資金的風險提示
公司控股股東鐵牛集團3.1億元非經營性資金佔用，截止到目前仍未歸還公司。
四、公司2020年度業績情況的風險提示
公司於2021年1月30日披露了《公司2020年度業績預吿》(公吿編號：2021-016)，預計2020年度歸屬於上市公司股東的淨利潤虧損約60億元-90億元，扣除非經常性損益後的淨利潤虧損約59.61億元-89.61億元，預計期末歸屬於母公司所有者權益為-31.81億元至-1.81億元。公司此次業績預吿是公司財務部門初步估算的結果，具體財務數據以公司披露的2020 年度報吿為準。
五、公司董監高買賣公司股票情況
