鼎龍股份(300054.SZ)：湖北芯屏擬以1200萬元投資鼎材科技
格隆匯 3 月 2日丨鼎龍股份(300054.SZ)公佈，為進一步夯實公司新型顯示板塊材料業務，提升公司在面板材料行業的競爭力，公司全資子公司湖北芯屏科技有限公司(“湖北芯屏”)及關聯法人曲水鼎龍泰豪企業管理有限公司(“曲水泰豪”)擬與北京鼎材科技有限公司(“鼎材科技”、“北京鼎材”或“標的公司”)現有股東蘇州吳江景涵企業管理合夥企業(有限合夥)(“蘇州吳江”或“本次協議轉讓方”)分別簽署《關於北京鼎材科技有限公司之股權轉讓協議》及其股東協議，上述協議分別約定由湖北芯屏、曲水泰豪通過股權受讓的方式對鼎材科技進行參股投資，即湖北芯屏擬按投資前估值88000萬元的價格，以人民幣1200萬元的價格從蘇州吳江處受讓鼎材科技79.7292萬元註冊資本；曲水泰豪擬按投資前估值88000萬元的價格，以人民幣500萬元的價格從蘇州吳江處同步受讓鼎材科技33.2225萬元註冊資本。
此次受讓完成後，湖北芯屏將持有鼎材科技1.3636%股權，曲水泰豪將持有鼎材科技0.5682%股權。鼎材科技其他現有股東均放棄優先受讓權。
除公司全資子公司湖北芯屏及關聯法人曲水泰豪外，此次還有其他投資方對標的公司鼎材科技進行投資，相關交易完成後，鼎材科技的註冊資本由5846.9672萬元增至6543.0347萬元。湖北芯屏持有鼎材科技的股權比例由1.3636%變更為1.2185%，曲水泰豪持有鼎材科技的股權比例由0.5682%變更為0.5078%。
北京鼎材在OLED發光材料和顯示用光刻膠領域研發能力強，具有先進的技術儲備、較強的創新實力和成長潛力。通過本次股權收購，將有助於公司把握國內面板材料行業發展機遇，優化產業鏈資源配置，擴充客户資源，實現戰略聚焦，提升價值創造能力。此次交易符合公司新型顯示板塊材料業務戰略規劃，通過融合發展充分發掘和利用各自領域的資源優勢，有利於整合行業內現有國內資源，促進產業整合，迅速實現規模發展。
此次股權收購交易完成後，公司將在面板顯示材料的技術研發與客户資源整合等方面，與鼎材科技展開深入合作，提高公司在光電半導體核心進口替代類工藝材料產業中的競爭實力。
