天域生態(603717.SH)：部分應收賬款債務重組暨擬購買信託計劃
格隆匯 3 月 1日丨天域生態(603717.SH)公佈，公司於2016年4月承接了由新蒲發展公司發包的“新蒲新區洛安改善農村人居環境建設項目鄉村旅遊工程(二期)”，結算工程款為人民幣：50515.7萬元，已支付公司17220萬元，尚欠工程款本金33295.7萬元。經雙方友好協商，擬簽訂有關金融資產化債的《合作協議書》，經協商一致以11000萬元(19新蒲03期債券(債券代碼162347，下稱目標債券)債券資產轉讓給公司頂抵上述項目同等金額的應付公司工程款，並通過以下方式實現轉讓：
1、新蒲發展公司將下屬貴州新蒲經濟開發投資有限責任公司發行的19新蒲03期債券(債券代碼162347，下稱目標債券)合計1.1億元轉讓給乙方用於抵償工程欠款，工程款抵扣金額以轉讓時Wind公佈的債券全價為準。由公司或公司指定方持有目標債券(19新蒲03)，可以分期轉讓並進行持有，並在2021年3月30日之前轉讓（抵債）完成。
2、公司持有目標債券的最終目的為金融資產化債，即：以新蒲發展公司應付公司的1.1億元工程欠款(債權)，合法轉化為乙方獲得1.1億元目標債券(資產)為目的。甲、乙雙方均有義務以實現該最終目的為原則。
3、公司擬通過以下方式持有目標債券：公司購買不超過11,000萬元由雲南國際信託有限公司發行的“雲南信託-建信3號集合資金信託”信託產品(見附件二：《信託產品購買協議》)，並指定用於投資(19新蒲03期債券(債券代碼162347，下稱目標債券)債券。購買上述信託產品的資金來源為新蒲發展公司工程款欠款。
4、權利限制性約定：公司在2021年10月24日不行使(19新蒲03期債券(債券代碼162347)的回售權，即甲方下屬貴州新蒲經濟開發投資有限責任公司於2022年10月24日債券到期後履行本息兑付義務，且乙方在債券持有期間不得以非公允價值轉讓債券。
債務重組計劃若未能順利實施，公司與新蒲發展公司可繼續協商其他化債方案，且不影響公司繼續向新蒲發展公司主張工程款債權。對於剩餘工程款欠款，公司將與新蒲發展公司繼續協商債務償付方案。
