永泰地產(00369.HK)成立合營企業以收購英國物業
格隆匯 2 月 28日丨永泰地產(00369.HK)宣佈,公司於2021年2月26日訂立協議大綱,據此,(i)合營方(包括Top Paramount、the Champion SPV、公司及 SparkleDelight
)同意成立合營企業以收購該物業及(ii)合營公司股份已發行及配發予各合營方或其各自一間全資附屬公司。於發行及配發該等合營公司股份後,永泰附屬公司持有合營公司已發行股份總數之21%。
於同日,合營公司同意根據買賣協議向賣方收購目標公司(該物業擁有人)100%股權。該物業為一幢十一層(包括一層地下樓層)建築,位於66 Shoe Lane, London EC4A 3BQ(前稱Athene Place),擁有約153,462平方尺之寫字樓及配套空間,以及約4,196平方尺之零售舖位。該物業已進行翻修工程並於2020年第四季度完工。該物業位於倫敦市西端,鄰近多個地鐵及鐵路樞紐。目標公司實益擁有(作為租户)該物業中的主要租賃權益及空域租賃權益。主要租賃權須益受佔用租約規限及支付有關費用(將於收購完成後解除)。
合營方均已承諾向合營企業根據持股比例按比例出資2.58億英鎊。公司按比例應占金額為5420萬英鎊。永泰附屬公司應付之出資額將以集團內部資源及╱或借款撥付。
物業投資乃集團所從事之主要業務之一。董事相信,透過成立合營公司以收購該物業為集團提供拓展及多元化發展旗下物業投資組合的機會,為集團帶來穩定的租金收入。
