龍宇燃油(603003.SH)：原持股5%以上的沈慧琴違規交易公司股票
格隆匯 2 月 25日丨龍宇燃油(603003.SH)公佈，公司於2021年2月24日收到了原持股5%以上股東沈慧琴出具的《關於龍宇燃油股票交易的情況説明》，沈慧琴存在違規交易公司股票的情形，現將相關情況公吿如下：
沈慧琴在2020年3月17日至2020年3月31日期間累計買入公司股票50.57萬股(合計成交金額388.70萬元，成交均價7.686元)，又於2020年4月17日和2020年9月2日合計賣出公司股票63.41萬股(合計成交金額593.16萬元，成交均價9.354元)。以上事實發生期間，沈慧琴為公司持股5%以上的股東，上述行為構成了短線交易。
根據《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》，大股東通過集中競價交易、大宗交易、協議轉讓等方式減持股份至低於5%，自持股比例減持至低於5%之日起90日內，通過集中競價交易、大宗交易繼續減持的，仍應遵守有關大股東減持的規定。沈慧琴於2021年1月26日通過公司發佈了《股東集中競價減持股份計劃公吿》(公吿編號：2021-011)，擬自減持計劃公吿之日起15個交易日後的3個月內通過集中競價交易方式減持公司股份不超過416.5萬股，即減持期間起始日最早應為2021年2月23日。由於未考慮到春節放假因素對交易日的影響，沈慧琴提前於2021年2月18日至2021年2月22日期間合計減持公司股份82.11萬股。以上事實發生在沈慧琴自持股比例減持至低於5%之日起90日內，因此該行為構成了違規減持。
公司在知悉此事項後高度重視，及時督促股東核查相關情況，沈慧琴亦積極配合、主動糾正。本次事項的處理情況及補救措施如下：
根據《證券法》第四十四條規定：“上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益”。沈慧琴承諾將本次短線交易所得全部收益人民幣84.35萬元【計算方式為：（賣出均價9.354元-買入均價7.686元）*違規股數50.57萬股】轉入公司銀行賬户，歸上市公司所有。
公司已於2021年2月24日收到上述款項人民幣84.35萬元。
股東沈慧琴對本次違反《證券法》及《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》相關規定違規交易公司股票的行為向廣大投資者致以誠摯的歉意，並承諾將加強對相關法律法規的學習，加強股票賬户的管理，避免類似違規行為的再次發生。
