環球印務(002799.SZ)：公司董事、監事親屬短線交易
格隆匯 2 月 24日丨環球印務(002799.SZ)公佈，公司近日收到董事郭青平、職工監事劉愷出具的《關於本人親屬買賣公司股票構成短線交易的情況説明及致歉聲明》，郭青平的女兒郭玉倩於2020年7月27日至2021年1月14日期間買賣公司股票；劉愷的母親王為民於2020年8月7日至2020年9月7日期間買賣公司股票。根據《公司法》《證券法》《深圳證券交易所股票上市規則》等相關規定，上述買賣公司股票行為構成短線交易。
根據《證券法》第四十四條的規定：“上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。”“前款所稱董事、監事、高級管理人員、自然人股東持有的股票或者其他具有股權性質的證券，包括其配偶、父母、子女持有的及利用他人賬户持有的股票或者其他具有股權性質的證券”。
郭玉倩、王為民交易公司股票的行為違反了上述規定，構成短線交易。
根據公司自查，公司《2020年半年度報吿》於2020年8月17日披露，《2020年第三季度報吿》於2020年10月23日披露，公司於2021年1月15日披露《2020年度業績預吿》。
王為民發生的短線交易處於公司《2020年半年度報吿》窗口期，王為民聲明在上述2020年8、9月期間的交易行為繫個人操作，是其根據對二級市場的判斷做出的自主投資行為，不存在因獲悉內幕信息而交易公司股票的情形，劉愷聲明並不知曉母親王為民上述期間的股票交易相關情況，且未吿知其公司經營情況或其他內幕信息。
郭玉倩本次交易處於公司《2020年度業績預吿》披露窗口期，郭玉倩聲明在上述2020年11-2021年1月的交易行為繫個人操作，是其根據對二級市場的判斷做出的自主投資行為，不存在從任何其他主體獲得公司非公開信息並利用非公開信息買賣股票，或受任何其他主體建議、指導、明示或暗示買賣公司股票的情形，郭青平聲明並不知曉子女郭玉倩上述期間的股票交易相關情況，且未吿知其公司經營情況或其他內幕信息。
