珠海港(000507.SZ)擬9.74億元收購秀強股份25.009%股權
格隆匯 2 月 24日丨珠海港(000507.SZ)公佈，為進一步拓展能源環保主業的發展空間，提高公司可持續發展和整體盈利能力，公司擬通過協議受讓方式，以自籌資金分別收購宿遷市新星投資有限公司(“宿遷新星”)和香港恆泰科技有限公司(“香港恆泰”)所持有的深圳證券交易所創業板上市公司江蘇秀強玻璃工藝股份有限公司(股票簡稱：秀強股份，股票代碼：300160.SZ)9268.127萬股、6200萬股股份，收購完成後，公司將持有秀強股份合計1.55億股股份，佔其總股本的25.009%。此次收購秀強股份的交易價格為6.30元/股，交易總金額為約9.74億元。收購完成後公司將成為秀強股份控股股東。
秀強股份主要從事以印刷、鍍膜技術為基礎的玻璃深加工產品的研發、生產和銷售業務，主要產品為家電玻璃產品、光伏玻璃產品、廚電玻璃產品等，是國內家電玻璃產品行業的龍頭企業。秀強股份秉承“研發+設計+服務”的產品理念，建立了客户需求、產品設計研發、產品生產為一體的銷售服務體系，在客户中建立了良好的聲譽，家電玻璃主要客户為海爾、伊萊克斯、惠而浦、海信、美的、日立、松下、三菱、格力、博西華等國內外大型家電企業。
經過多年的穩步發展與持續積累，秀強股份在家電玻璃領域具備了豐富的研發、生產經驗，擁有堅實的技術基礎，同時重點圍繞產品智能化、新能源化的發展趨勢，加大科技研發力度，積極展開新方向、新技術、新產品、新業務的佈局，實現技術和產品的系統化組合，延伸產品多元化佈局，提升公司內生增長動力。近幾年秀強股份積極拓寬產品應用領域和市場，依託玻璃深加工技術積累及創新，研發出光伏BIPV玻璃、多曲面玻璃、微電玻璃等新品，應用於光伏建築一體化、新能源汽車玻璃、電子玻璃等新賽道業務，具有較好的發展前景。
完成收購後，秀強股份將納入公司的合併報表範圍，作為公司子公司進行會計核算。根據盡職調查結果，秀強股份資產狀況、盈利能力和市場信譽良好，負債率合理，不存在影響公司生產經營的重大訴訟仲裁；本次收購合併將增加公司的資產規模和營業收入，未來隨着新業務的投資發展有望增厚公司的經營業績。
