中國神華(601088.SH)：擬與珠海港公司續簽一致行動人協議
格隆匯 2 月 24日丨中國神華(601088.SH)公佈，公司、廣東粵電發能投資有限公司(“粵電公司”)、珠海港股份有限公司(“珠海港公司”)分別持有國能珠海港務有限公司(“珠海港務”，原名神華粵電珠海港煤炭碼頭有限責任公司)的55%、25%及20%股權。
經雙方協商一致，公司與珠海港公司擬簽署《一致行動人協議》，就珠海港公司與公司在珠海港務股東大會、董事會上一致行使表決權事宜進行約定，協議內容請見本公吿“三、協議主要條款”。
雙方同意，在處理有關珠海港務經營發展且根據《中華人民共和國公司法》等有關法律法規和公司章程需要由珠海港務股東大會、董事會作出決議的事項時均應採取一致行動。
採取一致行動的方式為：就珠海港務經營發展的重大事項向珠海港務股東大會、董事會行使提案權和在相關股東大會、董事會上行使表決權時保持一致。
雙方同意，本協議有效期內，在任一方擬就珠海港務經營發展的重大事項向珠海港務股東大會、董事會提出議案之前，或在行使珠海港務股東大會或董事會等事項的表決權之前，以本公司的意見為準，作為雙方的一致意見。
在本協議有效期內，除關聯交易等需要珠海港公司迴避表決的情形外，雙方保證在參加珠海港務股東大會行使表決權時按照事先所達成的一致意見行使表決權。
在本協議有效期內，除關聯交易等需要珠海港公司迴避表決的情形外，在董事會召開會議表決時，雙方保證在參加珠海港務董事會行使表決權時按照事先所達成的一致意見行使表決權。
雙方同意本協議的執行不損害對方利益，同時雙方充分發揮自身優勢，大力支持珠海港務的業務開展，採取有效措施增強珠海港務的盈利能力，實現珠海港務資產的保值增值。
本協議自2021年4月20日起生效，至生效之日起滿12個月時終止。
簽署本協議將增強公司對珠海港務的控制權。本協議的簽署不會導致本公司對珠海港務財務核算方法發生變化，不會對公司財務狀況和經營成果產生影響。
