格隆匯 2 月 23日丨華培動力(603121.SH)發佈2021年股票期權與限制性股票激勵計劃(草案)，擬授予激勵對象權益總計687.20萬份，涉及的標的股票種類為人民幣A股普通股，約佔本激勵計劃草案公吿日公司股本總額25,920.00萬股的2.65%，其中，首次授予權益總數為575.20萬份，佔本激勵計劃擬授出權益總數的83.70%，約佔本激勵計劃草案公吿日公司股本總額25,920.00萬股的2.22%；預留112.00萬份，佔本激勵計劃擬授出權益總數的16.30%，約佔本激勵計劃草案公吿日公司股本總額25,920.00萬股的0.43%。具體如下：
(一)股票期權激勵計劃：擬授予激勵對象股票期權127.2萬份，涉及的標的股票種類為人民幣A股普通股，約佔公吿日公司股本總額的0.49%；所涉及股票期權份額一次性授予，無預留權益。授予的每份股票期權擁有在滿足生效條件和生效安排的情況下，在可行權期內以行權價格購買1股本公司人民幣A股普通股股票的權利。
(二)限制性股票激勵計劃：擬授予激勵對象限制性股票560萬股，涉及的標的股票種類為人民幣A股普通股，約佔公吿日公司股本總額的2.16%。其中首次授予448萬股，佔擬授出限制性股票總數的80%，約佔公吿日公司股本總額的1.73%；預留112萬股，佔擬授出限制性股票總數的20%，約佔公吿日公司股本總額的0.43%。
該激勵計劃授予的股票期權的行權價格為9.90元/股，限制性股票的首次授予價格為4.95元/股。在本激勵計劃公吿當日至激勵對象完成股票期權股份登記或限制性股票登記期間，若公司發生資本公積轉增股本、派發股票紅利、股份拆細或縮股、配股、派息等事宜，股票期權的行權價格和限制性股票的授予價格將根據本激勵計劃做相應的調整。
該激勵計劃首次授予的激勵對象共計51人，包括公司公吿本激勵計劃時在公司(含子公司)任職的董事、高級管理人員、中層管理人員及核心業務/技術人員。不含獨立董事、監事、單獨或合計持股5%以上的股東或實際控制人及其配偶、父母、子女。預留激勵對象指本計劃獲得股東大會批准時尚未確定但在本計劃有效期間納入激勵計劃的激勵對象，由本計劃經股東大會審議通過後12個月內確定。預留激勵對象的確定標準參照首次授予的標準確定。
