希望教育(01765.HK)擬發行可轉債及先舊後新配售股份 涉資逾22億港元
格隆匯 2 月 23日丨希望教育(01765.HK)發佈公吿，2021年2月22日，公司(作為擔保人)及發行人(Tequ Mayflower Limited，公司全資附屬公司)與經辦人訂立可換股債券認購協議，據此，經辦人已有條件同意認購及支付，或促使認購人認購及支付將由發行人發行的本金總額3.5億美元於2026年到期的零息可轉換債券。
基於初始換股價3.85港元及固定匯率並假設債券按初始換股價全面兑換，債券將兑換為704,827,272股股份，相當公司現有已發行普通股本約9.67%；及公司經全面兑換債券而擴大後的已發行普通股本約8.81%。公司將向香港聯交所申請批准債券及換股股份的上市及買賣。
此外，公司、賣方及經辦人於同日訂立配售及認購協議，據此，賣方同意委聘經辦人為配售代理，而經辦人同意擔任賣方的獨家代理，以按竭誠基準促使承配人以配售價每股配售股份2.80港元購買配售股份(即6.8億股現有股份)。
配售股份佔公司現有已發行股本約9.33%及公司經認購事項擴大的已發行股本約8.53%。配售價為每股2.80港元，較股份於最後交易日在聯交所所報收市價每股3.10港元折讓約9.68%。
公吿表示，發行可換股債券的估計所得款項淨額將約為3.465億美元，認購事項估計所得款項淨額預計約為18.88億港元。公司擬將債券及認購事項的估計所得款項淨額主要用於業務擴張、營運資金需求及一般公司用途。具體而言，公司擬就潛在收購新學校動用部分認購事項所得款項淨額。截至本公吿日期，尚未制定有關所得款項淨額分配計劃，且公司並無物色任何具體收購目標。公司將於適用情況下根據上市規則規定就任何有關收購作出公吿。
董事認為，發行債券有機會令公司的股東基礎得以擴大並令股東結構多元化、提升公司流動性、降低公司融資成本及為公司籌集更多營運資金。董事會目前擬按以上所述的用途來使用資金，並認為此舉有利於公司的整體發展及擴張。配售事項及認購事項正在進行，旨在進一步擴大公司的股東權益基礎，優化公司的資本架構並支持公司的健康可持續發展。
