東方雨虹(002271.SZ)擬在河南鄭州設立全資子公司及建設樓店研倉一體化基地項目、河南區域總部項目
格隆匯 2 月 22日丨東方雨虹(002271.SZ)公佈，公司為立足公司建築建材系統服務商的核心定位，進一步提高研發能力，提升產品品質，實現產品結構的優化升級，以較低的倉儲成本和運輸成本輻射華中地區乃至全國市場，以期不斷提升客户體驗，探索並培育新材料領域創新驅動發展新引擎，同時為更好的引進生產及技術人才，強化人才隊伍建設，改善當地員工的辦公環境和研發生產環境，增強員工的穩定性，提升公司的核心競爭力，公司於2021年2月8日與鄭州市中原區人民政府簽訂了《項目投資協議書》。
協議約定公司擬投資8億元在河南省鄭州市中原區投資建設鄭州東方雨虹樓店研倉一體化基地項目及河南區域總部項目，樓店研倉一體化基地項目主要內容為建設樓店研倉一體化基地，滿足東方雨虹以建築材料為主體的新型產品在河南區域的新材料研發、銷售、結算、產品研發(含中試)、倉儲等用途，建設週期計劃在土地交付之後6個月開工建設，開工之日起12個月左右建成運營；河南區域總部項目建設內容包括東方雨虹及旗下各公司、各品牌的總部辦公、研發中心、會議、培訓、展示、接待、結算及居住等功能的實現，建設週期為2年。
根據協議安排，董事會同意公司全資子公司東方雨虹置業有限公司以自有資金在河南省鄭州市中原區出資5000萬元投資設立全資子公司河南東方雨虹實業發展有限公司(具體以工商部門核准登記為準，“河南雨虹實業”)，並以河南雨虹實業為項目實施主體投資建設鄭州東方雨虹樓店研倉一體化基地項目；董事會同意公司以自有資金在河南省鄭州市中原區出資5,000萬元投資設立全資子公司河南東方雨虹建材科技有限公司(具體以工商部門核准登記為準，“河南東方雨虹”)，並以河南東方雨虹為項目實施主體投資建設鄭州東方雨虹河南區域總部項目。
公司此次在鄭州市中原區投資建設東方雨虹樓店研倉一體化基地項目及河南區域總部項目，旨在充分發揮辦公、銷售、研發、倉儲等一體化模式所帶來的協同效應，依託鄭州市及中原區在交通區位條件、歷史文化底藴、自然資源豐富、生態宜居環境、產業政策支持等方面的優勢，立足公司建築建材系統服務商的核心定位，進一步提高研發能力，提升產品品質，實現產品結構的優化升級，同時以較低的倉儲成本和運輸成本輻射華中地區乃至全國市場，以期不斷提升客户體驗，探索並培育新材料領域創新驅動發展新引擎。按照協議約定，鄭州市中原區人民政府積極支持配合公司相關項目申報省、市重點項目，積極支持公司產品申請列入省、市、區三級政府採購名錄，在現行法律法規許可的前提下，積極提供市場資源，支持公司在本地市場做大做強；積極協助公司開展新型建築材料的推廣應用，此舉將對公司的業務發展起到一定的促進作用和積極影響。同時，該項目的建設有利於公司更好的引進生產及技術人才，強化人才隊伍建設，亦可改善當地員工的辦公環境和研發生產環境，增強員工的穩定性，提升公司的核心競爭力。此外，華中地區是公司重要的產品銷售市場之一，希望通過此次投資進一步擴大公司在華中地區的供貨能力，促進產能分佈的持續優化，以期進一步滿足華中地區的市場需求，為公司未來持續穩定發展奠定堅實的基礎，符合公司全體股東的利益。
