東方雨虹(002271.SZ)擬在江蘇省宿遷市設立控股子公司及建設綠色建材生產基地項目
格隆匯 2 月 22日丨東方雨虹(002271.SZ)公佈，公司為立足公司建築建材系統服務商的核心定位，踐行綠色建築、綠色建材、節能建築等國家戰略，不斷豐富綠色建材產品品類，提升產品品質，實現產品結構的優化升級，探索並培育新材料領域創新驅動發展新引擎，滿足公司的戰略發展規劃及因產品應用領域不斷擴大而帶來的市場需求，同時為進一步擴大公司在華東地區的生產與供貨能力，促進產能分佈的持續優化，以期進一步滿足華東地區的市場需求，為公司未來持續穩定發展奠定堅實的基礎，公司於2021年2月8日與宿遷高新技術產業開發區管理委員會簽訂了《項目投資協議書》。
協議約定公司擬投資10億元在江蘇省宿遷市高新區投資建設東方雨虹綠色建材生產基地項目，項目主要內容為防水、節能保温材料、民用建築材料、水性塗料等產品的研發生產項目，建設週期計劃自項目協議簽訂後3個月內一期投產，24個月左右全部投產。
同時，為提高綠色建材生產基地項目的實施效率，推進項目進程，根據協議安排，董事會同意公司全資子公司東方雨虹建築材料有限公司與宿遷高豐資產經營管理有限公司(“宿遷高豐”)共同出資設立控股子公司宿遷東方雨虹建築材料有限公司(具體以工商部門核准登記為準，“宿遷東方雨虹”)作為東方雨虹綠色建材生產基地項目的實施主體，宿遷東方雨虹註冊資本1億元，公司全資子公司東方雨虹建築材料有限公司擬以自有資金出資7000萬元，佔宿遷東方雨虹註冊資本的70%；宿遷高豐擬以自有資金出資3000萬元，佔宿遷東方雨虹註冊資本的30%。
公司此次在宿遷市投資建設東方雨虹綠色建材生產基地項目，旨在充分利用宿遷市在交通區位條件、歷史文化底藴、生態宜居環境、產業政策支持等方面的優勢，立足公司建築建材系統服務商的核心定位，踐行綠色建築、綠色建材、節能建築等國家戰略，不斷豐富綠色建材產品品類，提升產品品質，實現產品結構的優化升級，探索並培育新材料領域創新驅動發展新引擎，滿足公司的戰略發展規劃及因產品應用領域不斷擴大而帶來的市場需求。按照協議約定，宿遷高新技術產業開發區管理委員會積極支持配合公司相關項目申報省重點項目，積極支持公司產品列入省、市、區三級政府採購名錄，在政府工程及市政工程中優先使用，積極協助公司開展新型建築材料的推廣應用，此舉將對公司的業務發展起到一定的促進作用和積極影響。此外，華東地區是公司重要的產品銷售市場之一，希望通過此次投資進一步擴大公司在華東地區的生產與供貨能力，促進產能分佈的持續優化，以期進一步滿足華東地區的市場需求，為公司未來持續穩定發展奠定堅實的基礎，符合公司全體股東的利益。
