昊海生科(688366.SH)：擬以共2.05億元獲得歐華美科63.64%的股權
格隆匯 2 月 21日丨昊海生科(688366.SH)公佈，公司與歐華美科(天津)醫學科技有限公司(“歐華美科”或“目標公司”)現有股東Welly Bloom Limited (“Welly Bloom”)及Refined Beauty Limited (“Refined Beauty”)分別籤署《股權轉讓協議》，約定以人民幣13500萬元受讓其合計持有的歐華美科38.23%股權。同時，公司與歐華美科創始人陳廣飛、連松泳、苑一兵(以下合稱“創始人”)及歐華美科簽訂《增資認購協議》，約定向歐華美科增資人民幣7000萬元，認購歐華美科新增註冊資本52,025,944.03元。
公司將在相關協議約定的先決條件全部得到滿足(或公司以書面形式予以豁免)後，一次性向相關交易對方支付全部交易對價。此次交易完成後，公司將以共計人民幣2.05億元總投資款獲得歐華美科63.64%的股權，歐華美科創始人將持有剩餘36.36%的股權。
此外，歐華美科創始人和昊海生科共同設立第三方平台期權池(“期權池”)用於歐華美科創始人及其核心員工股權激勵。期權池將持有歐華美科10%的股權。
公吿顯示，歐華美科自設立起聚焦於全球專業生活美容及家用美容領域，境外收入約佔其整體收入的55%。歐華美科控制了以色列專業射頻上市公司和擁有自主知識產權的中國激光芯片及設備研發、生產公司，並參股法國創新型生物材料研發公司股權。其中，以色列上市公司專注於射頻美膚設備；法國公司聚焦於玻尿酸及幾丁糖生物醫用材料；中國公司專注於獨家激光美膚設備，產品主要出口海外市場。
此次交易投後估值約為人民幣3.22億元，相較目標公司截至2019年12月31日止未經審計的淨資產人民幣2.41億元上浮33.6%。期權池所持有的股份如獲行權，則公司持有目標公司60%的股份，對應的投後估值約為人民幣3.42億元，相較目標公司截至2019年12月31日止未經審計的淨資產值上浮41.9%。該估值系各方基於目標公司淨資產值協商後確定。其中，目標公司財務數據未經審計。此次交易未構成重大資產重組，亦未構成關聯交易。
此次交易完成後，公司擬對公司及歐華美科的產品及銷售渠道進行整合。一方面補充公司產品矩陣，向下遊客户提供不同的產品組合，滿足多元化的市場需求。另一方面，整合雙方在線上及線下，國內及國外的銷售渠道，共享雙方各自原有客户資源，提高運行效率和銷售達成率。
此次交易是公司相關業務板塊由“醫療端”向“消費端”進行業務擴展的重要舉措。在技術研發方面，進一步補充和豐富了公司核心多糖交聯技術，形成了差異化產品定位，並通過多元相控射頻技術、垂直腔面發射半導體激光技術增強公司創新研發能力。在產品組合方面，雙方將共同打造貫通美容領域、覆蓋生物材料、儀器設備以及護膚品三大品類的完整業務矩陣。在銷售團隊方面，通過整合雙方的境內外直銷團隊、電商團隊，將有助於雙方在技術方面的積累轉化為具有差異化特色的產品以滿足消費者的個性化需求。
