潤東汽車(01365.HK)：根據可換股優先股轉換向CJ China發行合共3300.73萬股
格隆匯 2 月 19日丨潤東汽車(01365.HK)公佈，Rundong Fortune為公司的控股股東以及Rue Feng家族信託之受託人就Rue Feng家族信託受益人的利益而間接及合法擁有的全資附屬公司，其中公司主席、行政總裁及執行董事楊鵬擔任其保護人。Rundong Fortune已(i)向大盈質押1300萬股可換股優先股以作為大盈票據的抵押；及(ii)向Prosperous Luck質押2000.73萬股可換股優先股以作為Prosperous Luck票據的抵押。Rundong Fortune於到期時違反大盈票據及Prosperous Luck票據，因此大盈及Prosperous Luck隨時有權執行大盈票據質押及Prosperous Luck質押。公司亦獲悉，Prosperous Luck質押隨後轉讓予大盈。
於2021年2月16日，公司收到大盈代表律師的函件，吿知大盈已對Rundong Fortune執行質押。通過執行質押，大盈於2021年2月11日將RundongFortune所持合共3300.73萬股可換股優先股轉讓予CJ China。此外，函件中要求(i)將3300.73萬股可換股優先股轉換為公司普通股；及(ii)轉換後，以CJ China的名義登記有關股份。
於2021年2月19日，公司根據可換股優先股轉換向CJ China發行合共3300.73萬股公司普通股。可換股優先股轉讓及可換股優先股轉換後，(i) CJ China成為公司3300.73萬股普通股的持有人，相當於公吿日期公司已發行股份總數約3.37%，以及經行使有關換股權後轉換所有已發行可換股優先股擴大的公司已發行股份總數約2.05%；及(ii)Rundong Fortune持有合共(a)6.24億股公司普通股，相當於公吿日期本公司已發行股份總數約63.71%，以及經行使有關換股權後轉換所有已發行可換股優先股擴大的公司已發行股份總數約38.74%，及(b)6.31億股可換股優先股，相當於經行使有關換股權後轉換所有已發行可換股優先股擴大的公司已發行股份總數約39.19%。
