潤建股份(002929.SZ)：修訂2020年股票期權激勵計劃公司層面業績考核指標
格隆匯 2 月 19日丨潤建股份(002929.SZ)公佈，2021年2月19日，公司第四屆董事會第九次會議及第四屆監事會第八次會議，審議通過《關於修訂2020年股票期權激勵計劃公司層面業績考核指標的議案》。
2020年，在新型冠狀病毒疫情、新拓展業務投入加大、技術研發投入加大等因素的影響下，公司仍然取得了良好的經營業績，展現出公司優秀的經營活力與戰略執行力，目前公司在手訂單充裕，現金流監控，業務拓展穩步推進，圍繞“萬物互聯”的產業佈局已初步成型，經營成果持續落地，公司將開啟快速發展的新十年，未來可期！
在此情況下，結合公司實際經營情況，經審慎研究，公司董事會認為，修訂後的業績考核指標，能客觀地反映公司經營現狀，同時，能夠繼續促進激勵對象發揮積極性，進一步提高員工凝聚力，有效發揮激勵作用，確保公司長期穩定發展。
修訂前：“本激勵計劃在2020年-2022年會計年度中，分年度對公司的業績指標進行考核，以達到業績考核目標作為激勵對象當年度的行權條件之一。本激勵計劃業績考核目標如下表所示：
注：上述“營業收入”以經審計的合併報表所載數據為計算依據。
公司未滿足上述業績考核目標的，所有激勵對象對應考核當年可行權的股票期權均不得行權，由公司註銷。”
修訂後：“本激勵計劃在2020年-2022年會計年度中，分年度對公司的業績指標進行考核，以達到業績考核目標作為激勵對象當年度的行權條件之一。本激勵計劃業績考核目標如下表所示：
注：1、上述“營業收入”以經審計的合併報表所載數據為計算依據。
2、上述“歸屬於上市公司股東的淨利潤”指標以剔除本次及其他激勵計劃激勵成本影響的經審計的歸屬於上市公司股東的淨利潤為計算依據。
公司未滿足上述業績考核目標的，所有激勵對象對應考核當年可行權的股票期權均不得行權，由公司註銷。”
