神州租車(00699.HK)：安博凱現金收購要約成為無條件
神州租車(00699.HK)2月18日晚間宣佈，私募基金安博凱(MBK Partners)對其的現金收購要約已於2021年2月18日下午四時正在所有方面成為無條件，要約人MBK Partners及其一致行動人士持股達52.11%。
根據披露，2021年2月2日，IU股東已根據不可撤回承諾的條款就彼等持有的所有IU股份(即約5.636億股股份)，佔公司已發行股本及投票權約26.51%接納股份要約。
截至2021年2月18日下午四時，除了在此之前要約人已持有的約4.43億股股份(佔公司已發行股本及投票權約20.82%)，加上股份要約就約6.65億股股份(包括IU股份)獲得有效接納將導致要約人及其一致行動人士合計持有約11.08億股股份(佔於本公吿日期公司已發行股本及投票權約52.11%)。
據悉，股份要約成為無條件要約之後，至少14天內要約依舊有效，即要約截止日期延長至2021年3月4日下午四時。此外，鑑於此次要約已成為無條件要約，所以如果要約無法完成，6個月內無法再提出新的要約。考慮到疫情仍有不確定性，以及行業依舊面臨短期挑戰，公司股價走勢有進入震盪期的風險。而據此前公吿，股份要約價為每股要約股份4港元，較最後交易日(即2020年11月13日)起算，往前30個交易日的每日平均收盤價2.63港元溢價約52.17%，這恰好為股東提供了難得的變現機會。
這次的要約收購特別設置了電話熱線以供查詢：中國香港(852) 3468 8427、(852) 6992 8984、(852) 6679 7008及中國大陸(86) 177 2150 8561、(86) 173 2875 1725，還設置了電郵investorinfo@everbloom.com.cn供股東查詢，於工作日9:30至19:00提供服務。
