美尚生態(300495.SZ)：控股股東將變更為湘江集團 實控人將更為長沙市國資委
格隆匯2月10日丨美尚生態(300495.SZ)宣佈，公司於2021年2月9日收到實際控制人王迎燕、徐晶夫婦的通知。王迎燕女士、徐晶先生於2021年2月9日與湖南湘江新區發展集團有限公司(簡稱“湘江集團”)簽署了《股份轉讓框架協議》和《股份轉讓協議》。同日，王迎燕與湘江集團簽署了《表決權委託協議》。
1、第一次股份協議轉讓及表決權委託
王迎燕、徐晶通過協議轉讓的方式向湘江集團分別轉讓約5029.42萬股無限售流通股(佔公司總股本的7.46%)、531.7796萬股無限售流通股(佔公司總股本的0.79%)，合計轉讓約5561.20萬股無限售流通股(佔公司總股本的8.25%)。第一次股份協議轉讓價格不低於《股份轉讓協議》簽署日前一個交易日收盤價的80%，經雙方協商確定為人民幣7.41元/股，股份轉讓價款合計約為人民幣4.12億元。
同時，王迎燕與湘江集團簽署《表決權委託協議》，為使湘江集團取得美尚生態的實際控制權，王迎燕同意將其持有的公司約1.13億股股份(佔公司總股本的16.75%)的表決權無條件、獨家且不可撤銷地委託給湘江集團行使。委託股份的委託期限自第一次轉讓的股份過户登記至湘江集團名下之日起至《股份轉讓框架協議》約定的第二次轉讓的股份過户登記至湘江集團名下之日止或本次交易終止之日(以孰早之日為準)。
第一次股份轉讓完成及表決權委託生效後，湘江集團持有公司約5561.20萬股股份(佔公司總股本的8.25%)，合計控制公司約1.69億股股份(佔公司總股本的25.00%)對應的表決權。公司控股股東將由王迎燕變更為湘江集團，公司實際控制人將由王迎燕、徐晶夫婦變更為長沙市國資委。
2、第二次股份協議轉讓
根據約定，王迎燕後續不再擔任公司董事、監事及高級管理人員。在第一次股份協議轉讓完成過户登記且王迎燕持有公司剩餘股份達到可轉讓條件後(王迎燕辭任公司董事、總經理職務及公司新一屆董事會合法有效產生之日起6個月屆滿之日)7日內，湘江集團與王迎燕簽署第二次股份協議轉讓的《股份轉讓協議》。王迎燕通過協議轉讓方式向湘江集團轉讓其持有的公司約1.13億股無限售流通股(佔公司總股本的16.75%)，第二次股份協議轉讓價格以7.41元/股或者第二次股份轉讓協議簽署日前一交易日收盤價的80%(以孰高為準)來確定。
第二次股份轉讓完成後，湘江集團持有公司股份約1.69億股(佔公司總股本的25%)，持有公司有表決權股份約1.69億股(佔公司總股本的25%)。
