納思達(002180.SZ)：擬作價66億元收購奔圖電子100%股權 明起復牌
格隆匯 2 月 9日丨納思達(002180.SZ)公佈，公司擬向汪東穎、李東飛、曾陽雲、呂如松、珠海橫琴金橋一期高端制造股權投資合夥企業(有限合夥)、嚴偉、珠海奔圖和業投資中心(有限合夥)、北京君聯晟源股權投資合夥企業(有限合夥)、孔德珠、汪棟傑、珠海奔圖豐業投資中心(有限合夥)、餘一丁、珠海奔圖恆業投資中心(有限合夥)、彭秉鈞、嚴亞春、珠海永盈投資合夥企業(有限合夥)、陳力、蔡守平、陳凌、況勇、馬麗發行股份及支付現金收購其持有的奔圖電子100%股權。此次交易完成後，奔圖電子將成為上市公司全資子公司。
根據標的資產評估結果，經交易各方友好協商，此次重組標的資產奔圖電子100%股權作價為66億元。其中股份支付對價為50.16億元，現金支付對價為15.84億元。
同時，擬向不超過35名特定投資者非公開發行股份募集配套資金，募集資金總額不超過50億元，且不超過此次交易中發行股份購買資產交易價格的100%；募集配套資金髮行的普通股不超過此次重組前上市公司總股本的30%，即322,335,958股。
此次募集配套資金將用於標的公司高性能高安全性系列激光打印機研發及產業化項目、支付收購標的資產的現金對價、支付中介機構費用及相關税費、上市公司及子公司補充流動資金、償還借款。
值得注意的是，此次交易的業績承諾人為汪東穎、李東飛、曾陽雲、呂如松、嚴偉、珠海奔圖和業、孔德珠、汪棟傑、珠海奔圖豐業、餘一丁、珠海奔圖恆業、彭秉鈞、嚴亞春、陳力、蔡守平、陳凌、況勇、馬麗等十八位交易對方。如果本次交易在2021年完成，業績承諾期為2021年、2022年和2023年，業績承諾人承諾，奔圖電子2021年度、2022年度、2023年度歸屬於母公司所有者的淨利潤分別為不低於40301.04萬元、51378.91萬元、68653.65萬元。上述淨利潤指標採用扣除非經常性損益前後歸屬於母公司普通股股東之淨利潤中孰低者口徑。
經多年發展，上市公司主營業務已由“集成電路(芯片)、通用打印耗材和再生打印耗材的研究、開發、生產和銷售”，擴展至打印機整機、原裝耗材及打印管理服務領域，完成了自零部件到打印機設備及打印管理服務的全產業鏈布局，成為集打印、複印、整機設備、打印耗材(含原裝和通用)、各種打印配件(含打印耗材芯片)及打印管理服務於一體的綜合解決方案提供商。奔圖電子是一家完整掌握打印機核心技術和自主知識產權，集打印機及耗材的研發、設計、生產和銷售為一體的企業。
此次交易完成後，上市公司的主營業務不變，仍為打印機整機、原裝耗材及打印管理服務領域，是集打印、複印、整機設備、打印耗材(含原裝和通用)、各種打印配件(含打印耗材芯片)及打印管理服務於一體的綜合解決方案提供商。
根據深圳證券交易所的相關規定，經公司申請，公司股票將於2021年2月10日開市起復牌。
