*ST恆康(002219.SZ)：控股股東與北京新里程健康產業集團等簽署重整投資合作協議
格隆匯 2 月 9日丨*ST恆康(002219.SZ)公佈，公司於2021年2月9日接到公司控股股東闕文彬(乙方)通知，獲悉闕文彬先生與北京新里程健康產業集團有限公司(甲方)、五礦金通股權投資基金管理有限公司(丙方)三方共同簽署了《重整投資合作協議》。
為避免恆康醫療直接退市或導致破產清算情形發生，經甲乙丙三方協商，同意甲方、甲方關聯方及其指定的聯合投資人(“甲方”)作為產業投資人蔘與恆康醫療的重整，主要內容如下：
1、三方認同並承諾共同合作推進恆康醫療重整，同意甲方作為破產重整產產業投資人，發揮其雄厚的產業資源優勢，着力提升恆康醫療核心競爭力。丙方作為牽頭協調人，承諾在重整過程中向有關單位推薦甲方成為重整投資人，積極推動恆康醫療重整順利進行。
2、甲方將通過認購上市公司資本公積轉增股本的方式獲得上市公司股份和控制權，具體認購股份的價格及數量以法院裁定的重整方案為準；
為配合重整工作的推進及實施，在甲方或其指定主體解決京福華越及京福華採基金相關問題後，甲方有權要求乙方將其持有的恆康醫療合計不超過19.90%的股份對應的表決權不可撤銷的委託給甲方或其指定主體或放棄對應比例股份表決權，委託(或放棄)表決權期限至法院裁定重整計劃執行完畢之日。乙方不再謀求或聯合其他方謀求重整後上市公司的控制權。
如甲方選擇在重整期間接受乙方的表決權委託後，甲方即有權向恆康醫療提名過半數的董事候選人。甲方在取得上市公司控制權後三年內保持上市公司醫療服務和製藥產業資產的完整。
3、本協議簽署且上市公司公吿甲方作為重整產業投資人後，甲方將協調相關方停止對京福華越及京福華採併購基金的清算。乙方及丙方將協調京福華越及京福華採基金相關方，與甲方或其指定主體簽署相關協議或法律文件，甲方應於相關法律文件簽署後約定期限內解決京福華越及京福華採基金相關問題。乙方及丙方同意，甲方或其關聯方取得的京福華越及京福華採基金相關份額或對應權益可通過以股抵債的方式取得上市公司資本公積轉增股本對應股份。
4、乙方及丙方承諾，本協議簽署生效後，未經甲方同意，乙方及丙方(包括其各自的關聯方、顧問或代表)不得就恆康醫療重整相關事項與任何除甲方以外的其他第三方協商、接洽或達成與本協議類似的協議，或進行與本協議相矛盾的任何其他交易。
