科隆股份(300405.SZ)擬現金收購聚洵半導體51%股權
格隆匯 2 月 8日丨科隆股份(300405.SZ)公佈，公司於2021年2月8日召開了第四屆董事會第十二次會議、第四屆監事會第九次會議，會議審議通過了《關於現金收購聚洵半導體科技(上海)有限公司51%股權並簽署附生效條件的<股權轉讓協議>的議案》，同意公司就收購聚洵半導體科技(上海)有限公司(“標的公司”或“聚洵半導體”)51%股權分別與張智才、蔣宇俊、上海語融電子技術服務部、深圳華秋電子有限公司、深圳市嘉立創投資有限公司、王巧豔、上海禪生半導體科技有限公司7名交易對象簽署附條件生效的《股權轉讓協議》。《股權轉讓協議》尚需經過公司股東大會審批通過後方可生效，因此協議的生效具有一定的不確定性。
標的公司100%股權擬作價1億元，交易對象王巧豔由於在此次收購中全部退出，不參與聚洵半導體日後發展，不承擔後續經營風險，經雙方友好協商，標的公司100%股權擬作價8000.00萬元，王巧豔持有標的公司8.00%股權的轉讓價格為640.00萬元。
上市公司主要從事環氧乙烷衍生品深加工技術研製開發、生產與應用，立足於精細化工新材料領域，以環氧乙烷為主要原料，以“精細、專業、特性、創新”為技術特色，生產各類表面活性劑、功能型新材料等精細化工產品。公司主要產品系以環氧乙烷為主要原材料加工製造各種精細化工產品。其中，以聚醚單體、聚羧酸系高性能減水劑(包括聚羧酸減水劑濃縮液及聚羧酸泵送劑)為主，晶硅切割液及其它環氧乙烷衍生品為輔。
聚洵半導體是一家專注於模擬集成電路芯片研發和銷售的集成電路設計企業。公司的產品以信號鏈模擬芯片—運算放大器為主，並逐漸向信號鏈模擬芯片—數據轉換器和數據接口芯片，以及電源管理模擬芯片拓展，其應用範圍涵蓋儀器儀表、通訊網絡、消費電子、多媒體、工業自動控制、液晶顯示、汽車電子、可穿戴設備和物聯網等眾多領域。
通過此次交易，上市公司將新增模擬集成電路芯片的研發和銷售業務，將業務板塊延伸在精細化工行業領域之外，並在電子及電子化學品市場進行佈局，有利於企業整體價值得到有效提升，有助於增強上市公司的盈利能力和核心競爭力。同時，上市公司較強的資金實力和融資能力也能為聚洵半導體的發展提供強有力的支持，增強其在芯片研發速度和品質提升方面的投入，實現企業的快速成長，成為上市公司新的業績增長點。
